If he doesn’t start buying then there isn’t an MBO?

It wouldn’t make a huge difference to the final price paid as the free float isn’t great but he would be a fool not to increase his position.

My suggestion is that his support from these historical investors was severely weakened after his outbursts on social media and the Apollo rejection but let’s see how this plays out.

Institution shareholders would require a break up guaranteeing equity release.

Sorry but they are not fools with an infinite time horizon.

There would be no guaranteed exit.

It would be absolutely impossible for Institutions to accept Matt with complete control.

They would obviously support Matt at the AGM but that means nothing.

Matt would need to buy them out.

THG has tried and failed on the Public Markets so that’s not a realistic promise for Institutional Shareholders anymore.

Listing elsewhere would be a huge risk along with leaving Matt in control.

The Institutions would need a cash out without Private Equity control which would effectively guarantee an imminent financial return.
