From RNS dated 1 Sep 23 - 'Having consulted with a number of shareholders post the announcement of 31 August, the board has decided not to proceed with the proposed Share Reorganisation and associated consolidation of the Ordinary Shares.'

Rec'd from broker today - ' Further to our previous communication, we have received an update regarding the Omega Diagnostics Group Plc capital reorganisation event.

The Company has announced that the previously announced proposed share consolidation and capital reorganisation will no longer take place. The directors have stated this is because they have no need or intention to raise funds at this time.'

Couldn't make it up!!!

Captain, don’t know if they would to be honest and I know them really well!! Either cash in for a decent couple of weekends or hope that……..well being realistic there is no hope…..

Keep 5 figure sum worth of shares or sell for £450……asking for a friend…..

The Companies Act 2006 provides that a company may not issue shares at a discount to nominal value. Accordingly, given the discount, the Company is not presently practicably able to raise further equity investment. Whilst the Directors have no current intention to seek to do so, it would be preferable for the Company to be in a position to raise equity investment in the future if that was considered to be in the best interests of the Company at that time.

Captain, you were right Ref the above snippet from the RNS. Also to anyone who has been here a while remember this trick was played before regarding the line ‘Whilst the Directors have no current intention to seek to do so’ in the words of Rob Brydon “we’re you telling a truth or a lie? “ Response would have been from ODX ‘ we told a big fat lie’.

As previously communicated in an earlier missive, attached, I have consulted Omega’s management on your behalf who have confirmed that, while don’t have an exact figure, the cost is minimal / not material and the Company already has the trademarks for CNS due to our CNS Lab business

Omega Diagnostics Group Plc has announced a proposed capital reorganisation which means there is a proposed significant change to the company or group’s structure.

Under the proposed terms of the capital reorganisation, your existing shares will be consolidated and then immediately subdivided.

This means that your shares will first be consolidated into 1 new share of GBP2.44 in exchange for every 61 existing shares of GBP0.04 held.

Following the consolidation, the new shares will immediately be split into 1 new ordinary share of GBP0.10 and 260 valueless deferred shares of GBP0.009 in exchange for each newly consolidated share held.

The deferred shares will have very limited rights and will be effectively valueless. As such they will not be credited to your account.

The overall result of this transaction means your account will be credited with 1 new ordinary share of GBP0.10 in replacement for every 61 exisiting ordinary shares of GBP0.04 you currently hold, as of record date 6 September 2023.

As previously announced, the company is also proposing a name change of the company to Cambridge Nutritional Sciences Plc, the effective date of this is not yet confirmed.

The capital reorganisation and name change will both be subject to shareholder approval at the Annual General Meeting, to be held on 6 September

PS what's happened to the little graph that appeared at the top of a google search when looking for a share price?? you know the one with the red line going down from left to right for the last two years

Irrespective of the result of the Government dispute, it will not effect the SP long term. Company has millions in the bank now but appears to be struggling to sell its product, so more money won’t make a lot of difference and less will simply bring closer the day when the last one out turns the lights off. Orders, the ability to fulfil those orders and with a decent margin is the only chance that this absolute dog of a share can begin any sort of recovery. On previous form it’s not looking good sadly…

Caley2, genuine question, are you the person using Caley2@ODX_Caley2 on twitter?? If not you may be wise to try and disassociate yourself from that account, looking at, for eg, posts on 10 Feb 23 which would seem to contradict your opinion on content posted, as a large percentage of your posts on here make reference to 'smut poster' etc etc If it isn't you, I would clarify that asap so people don't get the wrong impression.

Thankyou for your reply, and having posted in capitAls, you have responded to at least part of the post, however you failed to give your thoughts on the brokers 12p target. Also why was your post so antogonistic when mine was factual and polite?

IT WAS ME WHO FIRST MENTIONED THE SUSPENSION on this board, told you several times so why do you always target Captain Swag or DSAF with regards to that matter. On a separate matter, when realistically do you think this will reach 12p, seems like the company themselves are lining up 2024 as the year when their expansion will come to fruition.

'Everyone entitled to their opinion especially more if they are a shareholder'..... I agree that everyone is entitled to their opinion but not necessarily regarding being a shareholder. The reason being, with this board as with many others on LSE there are rampers who state such things as, 'huge buying today as people see the potential', 'get in while you can', 'the herd will be arriving soon' etc etc the probability is those who post this unproven garbage are probably investors of some scale hoping to convince some, - I have no idea who, other than if you are convinced by their unsubstantiated drivel then you really should consider whether investing is for you - to invest and hopefully increase their share holdings value, which is very unlikely to happen. However, on the flip side more experienced investors who having left the share and retain an interest or watch the share with a possibility of a buy in, may offer to others, an insight into that particular share either historically or as they see the future utilising their research or alternatively the field in which share is part of. Luckily with this particular share it is as simple as can be to identify who have an opinion based on reasoned rationale and those that, however poorly this BoD continue to appear to be, they believe that currently this is a share worth investing in.
