86KB - Good morning to you. Yes I do remember. The amount of warrants that are being exercised are minimal compared to what are still outstanding. The SP has climbed so rapidly, it was going to be inevitable that there would be a pull back at some stage. It's only 10.30am in the UK and already there's been 17,000,000 shares traded. With these high daily volumes all the warrants could be easily washed through the market, which wouldn't be a bad thing, as it would give ImmuPharma another £2M cash in the bank. Mariusz - The £125K received by ImmuPharma wasn't via a placement but by a warrant holder exercising their options of their outstanding warrants at 5p that were granted to them. This gave ImmuPharma net proceeds of £125K for issuing 2,500,000 additional shares. There's currently 98.5M warrants still outstanding and 95M of those are at 2p. Over the coming weeks more of those warrants are going to be exercised and more shares will be issued and ImmuPharma will receive the proceeds. I hope this explains it for you. There are 647,291,282 shares fully diluted. Currently there are 502.5M shares issued. It's the fully diluted shares that would be used for a takeover bid. So there's another 145M shares outstanding to be issued. An offer for the entire company at £230M would equate to 36p a share using the fully diluted amount of shares as a factor. I hope this helps. One thing we all need to bear in mind are the warrants. Currently there are 98,542,350 outstanding warrants. Approximately 95,000,000 of the exercisable warrants are at 2p. In the interview Tim done with Zak Mir when cash was mentioned, Tim made reference to the fact that they had released a rns that morning stating warrants had been exercised and fully expected more warrants to be exercised. Of the outstanding warrants Lanstead Capital are the holders of 70 million warrants at 2p. Those warrants can now be exercised for £1.4M, which IMM would receive. At 15p Lanstead Capital would realise a gain of 750% and a profit of £9.1M. Lanstead are managing those funds on behalf of their clients and it would be very naive to think that Lanstead will not take advantage of the current SP and exercise those warrants. They have a duty to do so for their clients. Alora Pharmaceuticals hold 21,818,192 warrants. I think they will exercise their warrants and become shareholders and they could well be one of the companies that ImmuPharma are in negotiations with. A subsidiary of Alora Pharmaceuticals, Avion Pharmaceuticals was granted a license and development agreement for exclusive rights in North America for Lupozor in November 2019. The additional shares although dilutive will add more liquidity to the stock. In the interview I think Tim was giving shareholders the heads up that there are more warrants to be exercised. 86KB - I think we need to be realistic. There's been a fair bit posted about £1BN and £500M payments for a licensing agreement with a major pharma and examples illustrated. Personally I think it would be easier for a major pharmaceutical company just to take ImmuPharma out with a takeover. My guess would be around £230M. With the total fully diluted shares, this would equate to an offer of around 35p a share, which I personally think is realistic and highly probable. The talks with major pharmaceutical companies have been ongoing since the beginning of this year, so are now well advanced and in the final stages. The Landstead agreement was structured to facilitate the company with sufficient capital until the licensing agreement is done or a takeover is announced. It wasn't Lanstead that exercised the warrants yesterday. It was SI Capital that exercised 2.5M warrants, they have 500K warrants remaining. They wouldn't have been exercising 5p warrants two weeks ago when the SP was less than 2p. That's £125k into the coffers of IMM also they should receive a enhanced 200% payment from Lanstead this month, which will be £600k together with an R&D tax credit of £500k. Good morning OSD. I think we also need to be realistic. A lot of those trades reported after hours are sells. Peeps are going to take profits along the way. I bought in on the day the license news was announced and most fortunately prior to the news being announced!!! Literally an hour before. I posted my trades at the time, 2 × 250k @ 3.13p, that were printed later as delayed trades. shares cost me £15,650 and were sold yesterday for £52,500 and a £37k profit. I'm still holding quite a few shares and I would love 17p or more!!! But it would be absolutely madness not to take a little profit along the way. Good luck to you. Atb Popeye. PS.
