19. An AIM company must publish annual audited accounts which must be sent to its shareholders without delay and in any event not later than six months after the end of the financial year to which they relate.

Whereas this is when Aim companies must publish annual audited accounts.

When financial reports must be lodged

Section 319 of the Corporations Act requires a disclosing entity or registered managed investment scheme to lodge the complete financial reports within three months after the end of the financial year. All other companies must lodge their financial reports within four months after the end of the financial year.

This is simply to lodge your financial report. It is not about issuing results. Cap-xx could have already lodged its financial report.

Australian corporations law has historically borrowed heavily from UK company law. Its legal structure now consists of a single, national statute, the Corporations Act 2001. The statute is administered by a single national regulatory authority, the Australian Securities and Investments Commission (ASIC).

The Aim Rules are not additional. The Aim Rules apply in the same way NASDAQ rules apply to UK Companies listed on NASDAQ.

A company listed in the UK is subject to the continuing obligations imposed by the Financial Conduct Authority (‘FCA’) and the London Stock Exchange. The key continuing obligations imposed by the FCA can be found in the Listing Rules and the Disclosure Guidance and Transparency Rules (‘DTRs’).

The London Stock Exchange is responsible for AIM and AIM rules.

Cap-xx is a very small company. It has 22 employees. The CEO's duty is not to keep shareholders informed of everything. No CEO does this.

It is the same every year at results time for all Cap-xx's results. This is normal practice for Cap-xx. Look back at the comments before Cap-xx results and you'll read the same moans by the same commenters that are moaning now. They're grumpy old gits and love to moan about Cap-xx.

Cap-xx have to 31 December 2019 to issue their results under AIM Rules because Cap-xx is an AIM Company and must abide legally by AIM Rules regardless of where Cap-xx is based which is Australia.

Cap-xx is an AIM company and so comes under Aim Rules. Aim Rules apply because Cap-xx is listed on Aim. Companies must legally follow the rules of where the Company is listed and not where the Company is based.

For anyone who may not know. A long spread bet is betting that the share price will go up.

David Newlands bought a total of 5,060,000 shares on a long spread bet. The price of the shares at the time were about 4p a share however he'll probably have had to pay more than 4p because they were spread bets.

I understand David Newlands is a high net worth individual and he was a partner in Touche Ross. He was also seen as someone who was skilled at identifying good management.
