Once Sears announce a name change and the launch of Copa Imperial Tequila, we should then get a better idea of the true value of the transaction.

Sears has been a shell company with no real assets to speak of, so the mkt cap prior to the transaction was pretty meaningless, hence the reason for Human Brands receiving shares at a substantial discount to the quoted share price.

Interesting biography on the guy who pretty much owns all the shares in Sears who have just purchased the rights to the Copa Imperial Tequila brand from Human Brands:

Yes, MM's hunting for cheap shares, selling shares slightly below the mid-price so that they go through as sells.

The bulk of the recent placing is in LTH's hands and when you add in the shares held by the BOD, there is not a lot of free float.

We will have a lot more detail on the Comarco transaction very shortly when the Prospectus is released for the new placing shares.

If you are right, it is just as well that Gunsynd did not invest any money. However, I think the timeframe will be a lot less.

So, if the Tequila brand sold for $5.45m, how much is the Whiskey brand worth:

Shouldn't be too long now before we receive an update on the Comarco investment. The deal has clearly gone ahead, so we await the Prospectus for the issuance of the new placing shares, which should give a lot more detail.

My brain is clearly not working this morning. According to the filings I have reviewed, Human Brands are receiving 3.5m shares and $50k for the transaction. However, the share price yesterday was $3.55, which equates to a lot more than the $5.45m agreed price. So, I am either missing something, or the shares were issued at a discount the current price.

I see the share price of Sears, the company that has purchased the Tequila brand from Human Brands were up 18.33% yesterday on the US exchange. The news has clearly been received positively as far as Sears shareholders are concerned.

I reckon it must be a buy as the transaction is timed at 14.59 and the price was 0.029.

A delayed trade has just gone through for 51.6m shares. Don't know if it is a buy or a sell.

I think the news regarding Human Brands today is more than enough to justify the rise in the share price.

I am sure investors realise that when Gunsynd convert the loan into shares at a 55% discount, that will convert to a minimum of a 100% profit if we sell at the listing price. Add to that our 1% listing fee, you are looking at a potential investment value of £1m. Plus, we are earning interest on the loan until conversion occurs.

Given the news today, it is not a case of if Human Brands will list, but when.

Given the deal confirmed yesterday with Sears, and human Brand's own projected revenues for 2019, there is a very good chance that we could be looking at a valuationn of circa £50m next year if all goes to plan.

Our 1% listing fee would then be worth £500k. All IMHO, DYOR.
