PROPOSED PLACING BY SECURE TRUST BANK TO RAISE £20 MILLION, PARTICIPATION IN PLACING BY ARBUTHNOT AND REPAYMENT OF SUBORDINATED DEBT BY SECURE TRUST BANK Proposed Placing It was announced today that Arbuthnot's 75.5 per cent owned subsidiary Secure Trust Bank PLC ("Secure Trust Bank") is proposing to raise £20 million through a non pre-emptive placing (the "Placing") of new ordinary shares (the "Placing Shares"). Secure Trust Bank intends to use the proceeds of the Placing to provide capital to support various inorganic and organic growth opportunities, and to repay its existing subordinated debt of £5.0 million to Arbuthnot. Arbuthnot intends to subscribe for approximately £5.0 million of Placing Shares in the Placing, the proceeds from which will be offset against the principal amount of the subordinated debt of £5.0 million payable to Arbuthnot by Secure Trust Bank. Once the bookbuild is completed, the Company will make a further announcement detailing the number of Placing Shares taken in the Placing and its resulting interest in Secure Trust Bank. Following the Placing, Arbuthnot's percentage shareholding in Secure Trust Bank will reduce and Secure Trust Bank will no longer have any subordinated debt payable to Arbuthnot.

The new Agreement offers DONG Energy a suite of innovative options and solutions to help customers manage their energy use and also meet the industry's obligations on carbon reduction, and extends the current range of services provided by EAS under an original Agreement between Shell Gas Direct and Gazprom Global Energy Solutions (formally Truread) signed in 2008. Contract win with Multinational Financial Services Company Eckoh (AIM: ECK), the UK's leading provider of speech recognition and associated payment solutions, today announces that it has been awarded a three year contract to provide hosted payment services to one of the UK's leading financial services companies ("the Group") who specialise in insurance and operate across international markets. Eckoh was selected through a competitive tender process in February 2012, the contract was signed in November 2012 and the first service is expected to commence in Q1 2013. Under the terms of the contract Eckoh will be able to provide services to various departments across the Group and initially three departments have committed to adopting the Eckoh solution. The awarding organisation offers life assurance, general insurance, pensions and, investment products, and has over 7 million UK customers who are supported by the Group's contact centre operations which receive customer support calls and take customer payments. Through the contract those customers will now be able to make payments over the phone using both EckohPROTECT and EckohPAY, Eckoh's secure Payment Card Industry Data Security Standards ("PCI DSS") compliant payment services.

ZYTIGA® RECEIVES POSITIVE REGULATORY RECOMMENDATION IN THE EUROPEAN UNION FOR TREATMENT OF METASTATIC CASTRATION-RESISTANT PROSTATE CANCER BEFORE CHEMOTHERAPY Beerse, Belgium, 19th November 2012. Janssen-Cilag International NV (Janssen) announced today that the Committee for Medical Products for Human Use (CHMP) of the European Medicines Agency (EMA) has granted a positive opinion recommending approval of the oral, once-daily medication ZYTIGA® (abiraterone acetate) for use in combination with prednisone or prednisolone in the treatment of metastatic castration-resistant prostate cancer (mCRPC), in adult men who are asymptomatic or mildly symptomatic after failure of androgen deprivation therapy and in whom chemotherapy is not yet clinically indicated.i If endorsed by the European Commission, the recommendation would expand the indication for ZYTIGA®, which is currently approved for use in combination with prednisone/prednisolone to treat men with mCRPC whose disease has progressed on or after a docetaxel-based chemotherapy regimen. In February 2012 an Independent Data Monitoring Committee (IDMC) unanimously recommended unblinding the Phase III COU-AA-302 study ii on which this CHMP recommendation is based after a pre-specified analysis found statistically significant differences in radiographic progression-free survival (rPFS) and a strong trend in overall survival (OS) favouring ZYTIGA®. Based on these results, the IDMC also recommended that patients in the control arm be offered treatment with ZYTIGA®. Patients in the ZYTIGA arm also demonstrated a statistically significant difference in all the secondary endpoints compared to the control arm. The CHMP is the committee responsible for the scientific assessment of products seeking centralised marketing authorisation throughout the European Union. The CHMP's positive opinion is now referred for approval to the European Commission. Janssen anticipates receiving the regulatory decision from the Commission in early 2013.

Canaccord Genuity maintained its "buy" recommendation on communications and sports marketing group Chime Communications (CHW) and increased its target price by 12% to 230p. This comes after a "reassuring" quarter 3 IMS which illustrated trading in line with management expectations. The broker was also impressed with the growth of both margins and revenues due to benefits brought about by the Olympics. Because of the diverse nature of the company, the broker believes that it has a more attractive revenue mix than its peers

Seymour Pierce reiterated its "sell" stance on Mothercare (MTC) with a target price of 200p. The broker believes that it will be difficult to make Mothercare relevant for the modern mother again as it faces strong competition from Amazon and supermarkets. The broker also predict a 2 million pounds pre-tax loss to be reported for the 28 weeks to 13th October as gross margins will have been negatively impacted by promotional activity to clear stock

David Mond, CEO of ClearDebt commented "The Group has enjoyed a good year in terms of profitability and cash flow although this has to be tempered by lower numbers of new IVA cases particularly in the second half of the financial year. This is a disappointing result but one that I feel is being mirrored by many in the sector as the IVA market as a whole remains flat at best. Against this we have been successful in generating substantial income from consultancy related to the IVA business, although it is not expected to continue at these levels in the current financial year. I am pleased however to report that Abacus has returned to growth in DMP client numbers and profitability. Additionally I am very pleased with the number of new clients taking up our ClearCash prepaid MasterCard which now has similar features to those of a traditional bank account using its on-line platform (iCount). We are now focused on accumulating cash to repay the convertible bond in April 2013 with cash balances currently now in excess of £1m and increasing. Given the current economic outlook in the UK with unemployment showing no signs of falling substantially, together with high taxation and continued public sector cuts, I believe the Group is still well placed for another profitable year."

Financial Highlights: Good financial performance in the year. Total clients now number over 13,000. Disappointing numbers of new IVAs in the second half of the financial year, which has continued since the year-end, offset by a stronger debt management performance. Operational Highlights: Disappointing new IVA numbers, although revenue from the provision of consultancy services related to the IVA business has been strong. Good performance from our debt management business which continues to grow. · Abacus, ClearDebt's debt management plan subsidiary continues to make a profit and handles all of the Group's sales activity. It has benefited from an increase in debt management clients. · In line with trends in the market place ClearDebt has seen a reduction in new IVA numbers as well as average income from new IVAs. Revenue from financial consultancy related to the IVA business has grown strongly in the year although this is not expected to continue at current levels. · ClearCash prepaid master card successfully migrated to a new service platform giving cardholders the ability to set up direct debits as well as allocating them their own sort code and account number. Some duplication of costs arising from migration was incurred. However we now have the ability of offering similar facilities to those of a traditional bank account by the use of ClearCash's on-line iCount.

Outlook The business has performed well in difficult market conditions. Byotrol has continued its sales growth momentum and is now seeing the clear benefits of the operational improvements and significant cost reductions put in place over the last 12 months, and is well on track to achieve our near term objective of break even. At the same time we have established further growth platforms through a number of new or improved commercial agreements and key catalogue listings whilst further bolstering our business development capacity. The team is excited by the progress made in this first half and the quality of commercial partners that we have added to our client list. We look forward to building upon this performance and expect further progress in the second half of the year.

Overall revenues have continued their upward momentum, and in particular core Food and Beverage sales in the UK were up by 88%, reflecting the successful implementation of the refocused strategy.
