Basically they would want a detailed breakdown on what will be classed as dilution now. What will be dilution in the future from the financing structure. And what wont be classed as dilution today, but has potential to become so re like terms on other stock types or gold streams covering missed mining forecasts and so on. They can derive a risk % from the last one for possible future cap affect. Make sense?

Reverse engineering incomplete data to find %s Doze. For the pro's, they would not conclude at all - they say you cant on the data available. And they do go a lot deeper into the structure for dilution queries. A simple example, say, the affect of dilutions 2017-2025 in the ownership split 2017. Have they contributed more since? etc etc

They would have 25 questions and processes to go through, just to work out that simple 10% today- never mind the rest of the whole financing structure.

But that's stuff they do. Not my forte. So il ask for a detailed set of questions on it all - and hopefully it will clear it up for us re both todays current % for all (they wont look to cap table for that)and a rolling 36 month forward table cap covering the finance period of expected monies. Terms available to pref shares and things in terms of conversions if required based on estimated production not going to plan etc.

I'm just struggling here. I seem to be missing the most important info re a complete absence of ownership disclosure % and shifts if any, combined with a complex financing structure that obscures dilution impacts.

Now, i know you guys are big into detail. SO instead of mocking a newbie, you could just give me the info?

Then we can work out dilution impacts.

If they could just do a report titled 'Financing and Dilution Strategy Report'. I've seen some before and great for clarity

Given what is available to-date, i don't think it's possible for UK investors to wok out dilution impacts via e merry-go-round, factually. Which is a concern. Certainly not in official documentation/RNS's anyway. Was there a podcast for clarity ? haha

So any time they raise through TKGM/KME, is that not a reduction in KEFI ownership and so directly hit the listed price? Can just avoid direct UK shareholder approval that would be required for a major dilutive equity raise at any time?

In essence "project financing" rather than saying mass dilution? AN part gold stream debt?

It's not very clear imo. But looking at past complex deals like this, it was straight forward mass dilution dressed up. Although there were elements of future conversions of certain share class types in the future and so, diluted it over time that way

I am here today today to ask you you for 10 million dollars. For some inexplicable reason, we could get 100s of millions in financing, but for some reason have to come to you for a standard raise that should cover our salaries when it all goes tits up.
