For anyone still shouting “death spiral”… maybe take 5 mins to actually look at the deal. I mean come on guys and gals!

The Yorkville setup here is nothing like the old AIM fundings folk keep banging on about. The guy who used to run their UK arm left ages ago (he’s at Riverfort now) and they’ve mostly been doing deals in the US, only just coming back over here. Not even the same crew.

The structure says it all tbh - it’s unsecured, the equity bit was at a premium (0.44p) and the loan converts at a fixed 0.51p, not one of those floating “VWAP minus 20%” jobs that bleed a share to death. It’s also capped at £2m and runs over 10 months, not some open-ended money pit!

Both Zeus and AlbR are FCA brokers – if this was toxic they’d have run a mile. Some in here claim to be auditor(s) in a former life, so they will appreciate that at least!

Yorkville only make money whem the company delivers and the price goes up. That’s literally the opposite of a death spiral.

Only one way this is heading and lots of news to push the sp due over the coming days / months.

@GolfGTS funding wouldn’t have happened if there wasn’t something solid behind it. Institutions don’t throw money at blind risks - particularly unsecured! They’ll have seen enough data to back the bet. Actually, I would again urge investors to speak with the directors and they will tell you just how confident they are

GolfGTI - they presumably had to agree to fund on an unsecured basis and at a premium as there were lots of other IIs in discussion over the same period. They must have really wanted a piece of the gold. The negotiating power was firmly with the board here. The reaction today tells me there’s background buying / forward selling in respect of which further TR1s are likely

It is also why I ‘suspect’ more TR1s to deal with the ‘hoovering up’ of these new shares

exactly - they need to protect liquidity like i said earlier. re hamak - do we really need to compare their **** show with the much better, leaner and unsecured terms agreed here?

Worth also pointing out something a few seem to have (deliberately or otherwise) missed - the Yorkville CLN is unsecured!

That means they’ve got no charge over assets, no debenture, nothing to fall back on if things go wrong. Their only way to make money is for Nativo to perform and the share price to rise.

If this was some dodgy “death spiral” setup, they’d have locked it down with security over the licences or plant. They haven’t. They’re backing management and the projects outright.

So the risk isn’t on shareholders here - it’s on Yorkville. They only win if Nativo delivers. That says a lot about how confident they are that production’s about to kick back in.

people shouting “death spiral” clearly don’t get how this stuff works. both zeus and albr are fca-regulated brokers, and nothing goes out under their name without compliance sign-off.

if this was some toxic, open-ended cln, there’s no way they’d have approved the wording or stayed on the deal - the fca would hammer them for letting that through.

also worth noting the timing - albr were appointed just before this rns, not after. you don’t bring in another regulated broker right before dropping a dodgy financing. you do it when you want a clean, properly structured facility signed off by two brokers who actually care about reputation.

if this was the usual “death spiral” setup, zeus and albr would’ve been long gone, not standing beside it! start thinking for yourselves and ignore the bull****
