Genflow raises £340,000 through share issue backed by US investor

Genflow Biosciences PLC (LSE:GENF, OTCQB:GENFF), the longevity-focused biotech group, has secured £340,000 in fresh funding through the issue of 40 million new shares.

The shares were subscribed by Eric Leire, the company’s chief executive, under an exemption to UK rules that would otherwise require a prospectus.

Leire has arranged for the stock to be immediately placed with an institutional investor at the same issue price of 0.85 pence.

As part of the deal, the investor will also receive warrants, rights to buy more shares at 1.2 pence within the next two years.

Leire said: “We appreciate the continuing support from our US backer, and this will enable us to continue with dog study whilst awaiting the first payment of the Wallonia region grant.”

The company said the financing would provide essential working capital and tie investor returns to the group’s long-term performance through the attached warrants.

Subscription of New Ordinary Shares, Warrant Issue, PDMR Dealings

LONDON, UK-Genflow Biosciences Plc (LSE:GENF)(OTCQB:GENFF) ("Genflow" or "the Company"), is pleased to announce that it has raised gross proceeds of £340,000 (before expenses) via an allotment to Eric Leire of 40,000,000 new ordinary shares of £0.0003 each ("New Ordinary Shares") at an issue price of 0.85 pence (being the bid price as at close of business on 1 October 2025) (the "Issue Price").

Issuance of the New Ordinary Shares

The Company is currently unable to issue and admit the New Ordinary Shares without either the publication of a prospectus approved by the Financial Conduct Authority ("FCA") or relying upon an exemption to the requirement to issue a prospectus.

Consequentially, this fundraise involves a subscription by Eric Leire, CEO and director of the Company, for the New Ordinary Shares at the Issue Price pursuant to the employee offer exemption under Article 1(4)(i) and 1(5) (h) of the UK Prospectus Regulation.

Following allotment of the New Ordinary Shares, Eric Leire has agreed to direct their issue to an institution, who will immediately sell these New Ordinary Shares at the same Issue Price to a purchaser identified by it (the "Purchaser").

Future

Looking ahead, 2026 is expected to be a pivotal year as we move closer to clinical readiness in late-stage MASH, advance our ophthalmology programs in cornea and glaucoma, and deliver first efficacy data from our canine trial. By integrating progress across both human and veterinary health, Genflow is building a comprehensive platform capable of delivering meaningful innovations in longevity and age-related disease.

The Company is also working hard to secure further non-dilutive funding and has received support from the Wallonia Region to advance GF-1002 through the next stage of development. Animal Health Pipeline

Complementing our human health programs, we are pioneering applications of SIRT6 in veterinary medicine. During the period, we initiated a Healthspan and sarcopenia clinical trial in dogs with our partner, the independent CRO Syngene. This comparative, randomized study involves 28 beagle dogs aged 10 years and older, testing GF-1004, our naked DNA construct, in an aging canine population.

Early studies have already confirmed the safety and ease of administration of GF-1004, providing confidence in broader applicability. The trial is expected to deliver initial efficacy data within five months, with endpoints focused on muscle function and healthspan indicators. At the same time, we have initiated confidential discussions with several leading animal health companies under confidential disclosure agreements, underscoring industry interest in innovative approaches to age-related decline in companion animals.

Strategic Integration of Human and Animal Health

Our programs in human health and animal health are mutually reinforcing. The veterinary studies provide a real-world proof-of-concept environment to evaluate SIRT6-based therapies in aging populations, while our human programs extend the platform into areas of high unmet need such as MASH, sarcopenia, Werner Syndrome, and ophthalmology. Together, they expand the reach of our SIRT6 platform and strengthen Genflow's leadership in healthspan science.

CEO Dr Eric Leire talked with Proactive about the company’s new development program targeting eye health.

The initiative focuses on using a patented variant of the SIRT6 gene in combination with mRNA therapies. Leire explained that gene therapy is particularly well-suited for the eye due to its closed compartment, reducing the risks of off-target effects and immune responses.

The company is developing two parallel therapeutic applications: one for the posterior part of the eye to address glaucoma, and another for the anterior part, targeting corneal endothelial cell preservation in transplant procedures.

“We expect by a simple in vitro… to add our SIRT6 to these preservation media and help to increase the rate of positive transplantation of cornea,” said Leire, highlighting the opportunity to improve corneal transplant success rates without clinical trials.

Glaucoma therapy, on the other hand, involves a more complex delivery using mRNA injections, aiming to both reduce intraocular pressure and regenerate damaged ganglion cells. The company has already signed an MTA with an ophthalmology partner to initiate early development, starting with corneal preservation and expanding into glaucoma.

Genflow sees this as a fast-track opportunity to build an ophthalmology franchise with meaningful market potential and low incremental cost.

Yes they do Porter, and 89bio are in Phase 111 trials, and Genflow is expected to go straight into phase 1/11 whereby Sirt6 gene therapy ( patent pending ) will be administered to patients with MASH, and so huge potential. Genflow's cutting edge science in Sirt6 gene therapy and delivery, which is currently being tested in human diseased liver cells with R&D partner Organips, could conceivably lead to an early deal, and highlights Genflow's incredible upside potential.
