however posting on linkedin is, as noted before by me and others, not going to reach the wider necessary audience to achieve the further sales required to reach a turnover of c4m in 2025 to actually breakeven after all costs - and that estimate was based before the marketing spend with morepen - we await the 2024 final accounts to guage the overhead base going into 2025 - albeit the sbtx share disposals will go towards marketing spend and stock - the business has to be able to stand on its own both on profitability but also and more importantly cashflow - which it clearly isn't at moment and i would suggest not during the rest of 2025 nor probably at least h1 of 2026

whilst we don't have a termination payment to Rene nor do we have as much of a recharge of costs to pbx (part of which would have been Cellan in 2023 figures together with presumably Tom) in 2024

you only need 5% to requisition a meeting, not 10%. however you need at least 5 members present or 10% to have a vote on a poll, rather a show of hands. the chairman can off his own bat call for a poll.

Method of voting

whilst presumably we still don't know tom winnifrith's holding - complete lack of integrity, if so, in not disclosing at outset

of his suggested action and campaign

the above links show that in the last two agm's there was no need for the soh concert party (himself, brother, son, wife etc)

to vote nor chairman's holding due to the proxy votes received prior to meeting given to chairman and the general apathy and fleeting PI investors/gamblers in opti - generally a done deal every agm

now In the terms of the AIM Rules and insofar as it is aware, at 06 February 2025, 23.2% of the Company's AIM securities was not in public hands.

so whilst it only requires 5% to call a gm

i suggest tw will need c35 % ie c34m shares to at least have a hope of achieving his action which in some/many respects is an unfortunate but realistic view of the control exercised by our current ceo and founder together with his concert party

however it is apparent, at least to me ( i noted a while ago that i thought a share raise was imminent), but the continuing sale of sbtx shares shows that soh is having trouble raising funds in the market

Events After the Balance Sheet Date

The Company declared an interim B share dividend of 1.5p per B share on 19 March 2025 to be paid on 23 May

2025 to shareholders on the share register on 9 May 2025, with an ex-dividend date of 8 May 2025.

The Company sold 436,343 additional shares in OptiBiotix following the year end, reducing the remaining

holding to 600,000 shares, realising £80k at a small loss of £7k, resulting in a blended overall average weighted

return of 1.3x on original investment cost for this round of investment.

The Company sold 505,000 shares in SkinBioTherapeutics following the year end, reducing the remaining

holding to 1,352,107 shares, realising £123k at a small profit of £42k, resulting in an average weighted return of

1.5x on original investment cost.
