Corporate Governance...at last...14 Jan 2021 10:26
The FRC published the original "Combined Code on Corporate Governance" in 2003...
I implemented it in its entirety at a UK Quoted plc in 2006...its not complicated...
On December 8th 2020, Solgold, in a RNS 'celebrated' the implementation of the first major steps with the following words:
"The Board of SolGold Plc (LSE & TSX: SOLG) is pleased to advise of the following initiatives undertaken as part of the Company's continued Corporate Governance enhancement programme towards compliance with the UK Corporate Governance Code..."
"By order of the Board - Karl Schlobohm - Company Secretary"
It took an upstart of a company, Cornerstone, supported no doubt by BHP and NCM, to kick us into getting this far...
However, we do have a more balanced Board with half a dozen outside Directors and a 'Senior Independent Director' and a Committee structure which, with one exception I also implemented in 2006...
That Committee is the "Alpala Project Committee" with two independent Directors (Marshall and O'Kane), Mather and Ward.
Irrespective of what is going on in the background, with regards to JVs, Bids, Regional Drilling, or whatever is happening, there is now a proper Board process to take Alpala forward.
The AGM was on 17 December and, based on the withdrawn resolutions and Nick's 'near miss' I am confident the Board will have met since.
The Alpala Committee may only recently have met, with Xmas, New Year and COVID, but we can be sure that we shall see something in relation to the outcome of those deliberations pretty soon, however...
If there is 'corporate activity' going on as mentioned above, the Board will have their hands full and we can be sure that as soon as a notifiable event occurs, we shall get at least one RNS.
In the meantime, I am delighted that the flood of Regional RNSs has slowed down...the overhyping was killing the impact of what were/will be, truly momentous developments.
As I said in my emails to Nick before Christmas...please can we have less overpromising and under developing...less hyping...and a more steady flow of exciting RNSs that will do the job of lighting a fire under the Share Price...
