Just look at the massive changes Elodie alone has made to the CG and ESG in less than 12 months

Look at the agreement signed with Lasso, thanks to Ingo and Maria AA

Look at the common sense brought to the PFS by Keith which will actually make it economically viable

Look at KOK finally appointing a CEO despite three of the 'Old' Board blocking an appointment for months

And look at our esteemed Chairman who has twice blasted investors, as a result of which the SP is DOWN over 20%...

Please take off your rose tinted glasses...I want to make money just as fast as you...if not faster...after a 7 year wait...

On May 25 2017 the Market Capitalisation of Solgold was £666 million with 1.432 billion shares in issue....

Right now the MCap is £516 million with 2.294 billion shares in issue, so...

Despite the Alpala PEA and an imminent PFS, plus all the wonderful exploration results since, the 'Old' Board has presided over value destruction of $150 MILLION...

Now who on here is happy with that...?

On 25 May 2017 the SP hit 46.5p...that's DOWN 52%.

The COPPER price was $2.57...its now $4.37...thats UP 70%; the GOLD price was $1244; its now $1786, that's UP 44%

Since then we have had Porvenir, Rio, Blanca, Sharug, Tandy, Aguinaga and the Alpala PEA...

On 30 May 2017 Nick Mather said: "SolGold has spent three and half years and $47m on Cascabel, and now has a defined copper gold porphyry exploration blueprint for the application and operation of efficient exploration programmes for world class copper porphyry mineral systems throughout Ecuador.

On 20 November 2018 Mather said: "The Preliminary Economic Analysis (PEA) is advancing and Feasibility studies will follow seamlessly. Our aim is to fast track towards development."

On 20 May 2019, announcing the PEA with a payback of 3.5 to 3.8 years, Mather said: "Over the period to the end of 2019 when SolGold aims to complete the prefeasibility study..."

And here we sit at 22.5p....all of that is down to the 'Old' Board....

There still isn't a PFS at least 2 years after its promised date, because as soon as the independent Directors were appointed, it was patently obvious to them that the draft PFS wouldn't fly, requiring another year's work...

My case rests....

What about the lack of performance since May 25 2017...?

And do you honestly think we're any further forward right now, given that each piece of news is received with a yawn...?

He's also got senior experience in Contracting colonel and God knows we're going to need a load of them to build this mine...

I've voted AGAINST the Directors' remuneration (they haven't earned it) and against BM and LT...

Voted FOR all the others...

This means stoping BHP andNCM's automatic right to maintain their shareholdings on an issue )specifically the issue of probably Convertibles as part of the Alpala Financing)

But it also means voting for the rights to issue enough shares/convertibles to get Alpala away, otherwise the SP will tank if we can't fund it...(unless a bid comes in...)

Failing to finance Alpala would massively increase the chances of a low ball takeover and I think Ingo would immediately go...

Think about it...

In short, I'm arguing that the 'Old Guard' has failed us.

Last year NM got 55% and Clare 65% while the Independent Directors got 99%.

Doesn't that tell you something?

I want them replaced by truly independent Directors to give Darryl the best chance to implement his own strategy to maximise the monetary value of this company which has dragged in the doldrums except for the occasional hiatus, for at least 4.1/2 years...

On May 25 2017 the share price was 46.5...it would take a 111% price rise just to regain that all time high and now people are talking about accepting a bid not much higher than that, if at all...

And who is to blame for that?

NOT Elodie, Kevin, Keith or Maria...they have steadied the ship and finally been allowed to appoint a credible CEO...

In the meantime, it is the Chairman who is destabilising the price by publicly attacking a minor fund manager and the easy target of BHP...

Did you see the Chairman attacking Cornerstone last year?

I do NOT want BHP to take over, but the present Board is nowhere near independent while there are tow non-Executives that could never be described as independent and a weak, compliant Chairman who is not prepared to implement the Governance that HE approved in August 2020, either last year or this, and put the whole Board up for re-election.

Do you HONESTLY think BHP could take over, with NCM, CGP, NM, DGR, Tenstar and Blackrock voting against such a move...?

There needs to be a statement made this AGM because only half the job was done last year. Thats why I am voting against the two remaining 'Old' Board Directors, but NOT against Jason who Darryl will need, alongside a new CFO and Ingo.

Isn't that what we all want...a Board who are all pulling in the same direction rather than pulling backwards ll the time...?

He is tainted by the failures culminating in last year's AGM

He has only one Committee role and that is the Committee that held up the CEO appointment for 10 months..and Twigger had the casting vote...

He adds nothing and gets £82,000...its an easy hit to get rid of him and IMO Twigger is too associated with all the disappointments we've had...

The whole of today's debate has a direct bearing on how we decide to vote at the AGM.

My opinion is just an opinion. Vote against Moller and Twigger.

The rest is very much to do with how Boards work and how Directors are appointed.

If one or two weren't re-elected surely all of us should be concerned about who replaces them and the process by which this is achieved?

I think there has been immensely valuable input. We may not all agree, but in my view this is the most important AGM in Solgold's history.

The fundamental question is...is the current composition of the Board 'dit for purpose.

If LT and BM were removed, I would want to see another independent Director appointed and the CFO (aka Finance Director) taking up the final place when appointed, with EGG as the new Chair.

We NEED some stability in Solgold. Right now there is none. The Chairman is ultimately accountable for that.
