On 29th July PS bought shares in the company...his first ever transaction...this shows confidence in the shares but....
On 25th July ExploreCo was ready to be announced the following week. Maybe he jumped the gun, assuming the info would be published that day...
I'm not saying he committed an offence but I do believe that the timing was unwise and the NOMAD and Company Lawyers would have advised that it would not be appropriate to release the ExploreCo news immediately after and the safe thing was to wait up to 20 days for certainty.
That would put back ExploreCo until late August, which is likely the case.
it would be naive to assume the news will not be 'material'. The IPO for example could value ExploreCo at £200 million or more (i.e. 70% of the MCap on 29th July)
The disclosure of material information is aimed at ensuring fairness and transparency.
Material information includes "any information that could influence a reasonable person's decision regarding a transaction In financial markets, it refers to information that, if made public, would likely have a significant effect on the price of financial instruments..."
"Directors of companies with shares quoted on a stock exchange are obliged not only to disclose details of their dealings, but also to observe restrictions on when they can buy and sell shares in their company."
It would at the very least be unwise to buy shares prior to an announcement that sends the price considerably higher. (Let's hope it does.) Price sensitivity to the ExploreCo announcement can only be determined immediately after the RNS.
Lets hope it has a material effect, taking the SP into the 20s.

I was headhunted by the NOMAD and at my interview was tested when I had to tell the Chairman and former owner that we could not IPO unless he repaid his loan from the company...its no sinecure...
