I did some more research overnight & have a couple of interesting bits of information to share......

What is Programmatic advertising & why is it important ?

Answer -

"Programmatic advertising uses automated technology and algorithmic tools for media buying. Mirriad currently operates within a pre-programmatic sales model, and the move to a programmatic future in Q4 2023/Q1 2024 will allow us to start delivering at the scale we have always aimed for."

What does that tell us (other than they missed the timeframe by a considerable margin) ?

That they expected "Mirriad Inside" with the 5 Content Providers who were working/developing Programmatic capabilities in 2023 to be up & running well before they even went near Triplelift & therefore Triplelift was very likely a different part of the equation, probably more to do with the Diverse Marketplace to help the small content providers have Programmatic capabilities.

And Yes I have posed multiple questions to the company around "Mirriad Inside" & the "5 Content Providers" including for the Webinar, but the company has failed to provide any answers to those questions thus far.

We have different points of view.

I believe & have done for some time now, that Maria Teresa Hernandez will deliver what is required to turn the situation around. You don't.

In time we will see who was right.

I'd say they will have £5.4 - £5.5M left at the end of October & probably end the year around £4.2 - £4.3M (assuming no revenue comes in from Political advertising).

Q4 revenue won't come on to the books until Q1 2025.

So where the end of March cash number turns out to be is very depended on holiday sales if they get £1M net then I'd say the figure is going to be around £3.1M - £3.3M range, if they end up with around £2M net then the end of March number is going to be very similar to the year end number at say £4.0M - £4.2M.

There is plenty of time yet for them to get end to end Programmatic working & earning revenue in the early part of 2025.

They should have enough cash to last until at least the end of June 2025, given the cost cutting that has taken place.

I wasn't around to see the trading action on Wednesday afternoon, but going by the trades I'd say this.

The MM's clearly don't want to hold any Mirriad stock on the books.

Where is the selling coming from, well it could be one of the Rathbones investors, or it could be the person who sparked the share price rally & stream of buying that occurred on 9th October in connection with the post on X https://x.com/Profitprofit1/status/1844027084450193591 that occurred part of the way into the buying. It could be some of those buyers giving up for now.

We've not heard from Flightman in several days, hopefully they are still holding, but they may have sold out (there was 5M sold on the Auditor announcement remember) or they might just be keeping a low profile &/or buying more in the background quietly.

Whoever it is that's selling, they didn't make any money out of it that's for sure (unless they were the ones with the 2 purchases at 0.25p late in the day getting back some of the stock sold 2 days ago).

Absolutely no sign of them getting any Election ad-$ thus far (that I can find anyway).

If they decided to go after it, then why didn't they get some publicity around that fact by doing one of there USA press release's so that the opportunity got brought straight to the attention of the Harris/Trump camps as well as the Senate & House races?

I emailed them about that issue several days ago about the total lack of publicity surrounding it but as usual never got a reply.

Which is just par for the course with them as they are so secretive about everything. You'd think being in the ad business they'd be the exact opposite on most occasions.

As for normal VVP in Q4, again no visibility whatsoever that I can find, so just left in the dark as usual with Mirriad.

Maria Teresa Hernandez - is busy "Networking" & looks to be moving in all the right circles going by her ever increasing number of reply's/responses to any posts she makes.

As I've said plenty of times before I believe she is key to the success of the company. She brings passion & conviction to all of the DEI arena, through both the Diverse Media Alliance & the Mirriad Diverse Market Place.

Advfn is down at the moment so as not to lose my post to your question there ....

Extrader, a bid for OCN would have been possible, but there would be down sides to it.

You have to remember the portfolio has private equity investments in it which are much longer term in duration (usually 5 years plus to maturity) plus there is like $50M + of future commitments to these private equity fund managers that the directors have already agreed to !

So any potential buyer of OCN can't just liquidate the portfolio & walk away with just Wilson & Sons they are going to have a fair chunk of cash tied up for years in the private equity investments & trying to get out early will see significant losses on those investments.

Given the terrible overall performance of the private equity investments to date there is a risk that they don't even get there money back holding them to maturity!

I would say a purchase of OCN was less punitive for OCN shareholders because OCN is not selling Wilson & Sons & thus would not be liable to Capital Gains tax in Brazil over the transaction.

But each OCN shareholder would then be subject to there own capital gains tax etc (which we are going to be anyway).

They could have offered 3 year lone note or such like that would allow shareholders to spread out the gains tax payable but given the amount is down to £3,000 annually for UK Residents now, its not going to be much of a saving.

The only thing that can be done is for shareholders to sell (generate losses) elsewhere in there portfolio's over the rest of this tax year & next to offset as much of the Capital gains tax liabilities that they'll have that way.

ENET has some potential, the issue is around how much dilution it has to suffer to achieve it.

This is something with a lot of hidden value but not something to trade, too illiquid to do that really. So have a look at CNE & you can post any questions or comments there on your research & I'll try to look out for them.

I have to say its an awful deal & I would turn it down in a flash.

Quite frankly the OCN board of Directors & the 2 families have been misleading us minority shareholders for years now & should be ashamed of themselves.

Expressing the true NAV of OCN as being X when they were very much aware that there would be a colossal tax bill to pay when Wilson & Sons were sold & not disclosing that fact in any of the annual or half yearly reports.

We'd be far better of holding onto Wilson & Sons & banking the dividends (then paying all of it out to shareholders) & disposing of the investment portfolio & paying that cash out to shareholders.

Alternatively they can issue the Wilson & Sons shares to each of us individually & then we can decide whether to accept the offer or not & the tax issue would be to us individually not OCN.

You'll have to direct that question to the board of directors I'm afraid, no PI would know the true answer as to why they went down that route.

And yes even if they had done a normal highly discounted share placing back then, shareholders would be much better off in terms of dilution that way than the position they now find themselves with more dilution still to come !

A simply horrendous outcome for all PI's, which is very sad indeed.

One of the company's I would have pointed you to look at was OCN.

Only today after 15 years, I & many other long term minority shareholders in the company have just discovered how much we've been lied to by the 2 controlling family's & the rest of the board of directors over the years & if you follow the tentacles further those who have invested in HANSA Trust as well.

No wonder the structured deed got approved by the board in the 1st place then.

If the chair couldn't do there job, then they should have handed in there resignation at the end of the meeting end of story, but I'm guessing they didn't as they want to keep getting director fees instead of doing the right & proper course of action & having some integrity (not to mention dignity) on the matter.

Well if that's true "Its not the CFO she was an innocent in most of this. The BOD signed this deal she went along with what she was told to, which is probably why she left."

Then I hope a group of shareholders get together & go to the next company meeting be it AGM or EGM etc & ask the pertinent questions as to who approved what to find out who was all responsible for it (including there NOMAD) & then ask for the appropriate voluntary resignations otherwise the group will seek out the large shareholders & force there removal that way & though the BB's with other small PI.
