You need to look at the revised terms of the structured deed.
If the volume weighted average is 0.12p then NTC get shares at 0.12p - 15% rounded down to the nearest 0.1p in this case 0.1p itself, so the £210,000 outstanding will convert into 170M shares when they exercise it. Any share price from 0.12p to 0.235p gives NTC the same outcome.
If however the volume weighted price is 0.1199p then that gets rounded down to 0.11p - 15% discount & then rounded down to the nearest 0.01p this time = 0.09p that is the price the warrants would exercise at so £210,000 less £36,000 (I'm assuming that figure also drops & £40,000 isn't the lowest it can go) = £174,000 divided by 0.09p = 193.33M shares would now go to NTC.
If the volume weight average price were 0.1099p then your looking at £178,000 divided by 0.08p = 222.5M shares going to NTC & so on.
