Yes they could replace the £3M of the £5.5M facility that hasn't been drawn down yet with one from someone else, that bit is true.

But they can't replace the £1.75M that has already been drawn down, that is still subject to the terms of the agreement from 21st March 2024.

Given the warrants & everything else you could potentially be looking at 3.5 Billion + plus shares in issue1

"Technology Minerals Plc (LSE: TM1), the first listed UK company focused on creating a sustainable circular economy for battery metals, is pleased to announce that it has entered into a £5.5 million convertible bond facility (before expenses) with Atlas Capital Markets ("ACM") (the "Facility"). The Facility is expected to be drawn in five tranches of which the draw down of the first tranche of £1.5 million has been initiated.

Details of the Facility

Under the terms of the Facility, ACM will provide a £5.5 million convertible bond with a coupon of 5% per annum over Bank of England base rate via its investment vehicle Atlas special opportunities llc 2.

The Facility is expected to be drawn in five tranches, the first one being in the amount of £1.5 million followed by four tranches of £1.0 million as required. ACM will purchase the convertible bonds at a fixed price equal to 95% of the principal amount. The Company shall pay to ACM a transaction fee in aggregate equal to 3% of the total commitment in two instalments. The first instalment of the transaction fee will be deducted from the first tranche of £1.5 million.

In addition, warrants amounting to 20% of each tranche of convertible bonds will be attached to each tranche plus a premium of twenty (20) percent of the principal amount of convertible bonds that are issued. The warrants will have a strike price fixed at twenty (20) percent premium to the average Volume Weighted Average Price of the Shares for the 5 consecutive days immediately prior to the issue date of each warrant. The warrants will expire two years after issuance."

OMG its ENET all over again people piling into a tiny share where someone has massive conversion rights on loans made to the company.

The Company will issue 99,854,656 Ordinary shares of £0.001 per share ("Ordinary Shares") at a conversion price of £0.001 per Ordinary Share. ACM have agreed to abide by orderly market provisions in respect of the sale of share.

Following completion of this conversion, the total funds drawn under the £5.5 million facility with ACM will remain £2.5 million as previously announced, of which £0.75 million will have been converted into Ordinary shares. The principal balance outstanding is therefore £1.75 million."

The 1.8 Billion shares currently in issue will soon balloon to I guess 3 Billion minimum!

Hi Troajan,

You do know Atlas are just going to convert more of that loan into cheap shares (re the conversion terms) & then start to sell them (in an orderly manner) into the market, they'll just be loving this (its just like NTC - but a slightly different set-up!) going to be a lot of burned fingers here again when they convert what £0.5M or £0.75M of that £1.5M loan this time round!

Very quiet on the activity front! SB has finally liked something AI related but nothing really to do with Mirriad.

No reply yet to my message to the Shopify writer & no sign of the blog post being edited to correct the error either which is a little frustrating!

Looks like Shopify have edited the blog post & made a bit of a mess of it :(

They used to have Priscilla name & position within Mirriad listed & have inserted MTH's name into that section now instead ! Which ties up with the increase in followers that shes got in the last day.

Only in the next section of the article it keeps referring to Priscilla without anyone knowing who she actually is!

So I've dropped the writer a message & hopefully they correct the article so that it makes sense to everyone :)

hmm that wasn't how I imagined Shopify to be! so that's a bit of a bonus!

They didn't just put the blog article out on the main Shopify site they did it individually for many of the countries as well!

MTH got quite a few more followers in the past 24 hours, but all the accounts are very quiet! :)

You've clearly never understood this Structured Deed since it was agree to.

The price could go to 0.5p now it won't make a jot of difference with regard to NTC, they will get 170M shares minimum from what's previously happened, but they can't exercise there rights to those shares until ENET has the authority to do so. The higher it is the bigger there profit will be.

You'll also have them selling shares at the same time as ENET are trying to do another placing to help fund the last $400K TSP payment !

You've been invested in ENET for a long time now, you know full well the story of the Structured Deed. NTC are waiting patiently for the 23rd of December to come & go. ENET cannot issue any more shares to them until the maximum number of shares allowed is increased from 1.0 Billion to the stupid figure of 1.6 Billion they selected instead of 2 Billion plus.

Its just tick tock until then

hmm very interesting! :) but just remember what was discussed the other day about raining it in a bit, we don't want to shoot ourselves in the foot do we .....

The accounts seem to be very quiet, so to me it looks like they are still working on something! maybe Shopify is only part of the puzzle there currently completing !

Will need to see if I can locate more cash in the short term! as well as the longer plan that I've started on

Clearly the poster didn't do any research as the Structured Deed hangs over the company & simply can't be exercised until the number of shares that can be in issue is increased to 1.6B on 23rd December then boom another 170M shares minimum will be looking for a new home as well as anther share placing!

It is what it is & if people want to get there fingers burned so be it.

There is an attempted pump & dump on this stock literally every week now & they all somehow forget about NTC & the structured deed as well.

Hi 2phevs, no one knew back then that another revenue warning & another delay to end to end Programmatic was going to happen!

Just the same as where would the share price be now if that $20 - 40M Upfronts deal had gone through!

I was thinking more about this Shopify story .................

Clearly Shopify wouldn't have spent X amount of time & effort to make this work if they didn't see a real need for it! (or a competitive advantage having it)

Although I'm not really seeing where it ties in with small businesses & them advertising ? clearly I'm missing something & will need it explained to me in due course!

Now when there talking about £1000 its not a lot of money ad-wise, but if you've getting 20% of that figure & there are thousands of these each & every day of the year it will build up into a very tidy sum in no time at all & if one of these marketplaces has it, there's a reasonable chance that others will want the same feature (or similar) as well.

So £200 x 1000 a day around the world would bring in £200,000 ! even at 10% you'd be looking at £100K & if you cut it to just 100 a day, that's between £10K & 20K a day, Mirriad's running costs are around £23K a day. So if it really took off Shopify alone could potentially end up making the company profitable on its own.

When we're talking of such small sums of money per campaign then its clearly going to be done Programmatically end to end. So I guess they must have got it working that way now or are truly testing it out.

Its clearly getting Mirriad some attention as followers grew by 4 overnight & another 5 so far this morning!

I guess the Mirriad ones might be to do with that Shopify blog post!
