Just been looking at AMG Critical Materials NV website .... https://amg-nv.com/ .... I urge you all to have a look at their website, it makes impressive reading with their worldwide projects. They are well placed to develop refining plant in Portugal and have 3,500 employees worldwide.

As a group, they are a large corporate mining materials processor with a MCap of around €535m, dwarfing SAV at around £95m.

However, their share price on the day of the SAV announcement (Monday 24th June 2024) was currently around a yearly low of 15.99, down from 49.57 (12th July 2023) that reflects the year on year income statement: net income fell -45.99% from 187.59m to 101.32m despite flat revenues. A contributing factor has been an increase in the selling, general and administrative costs as a percentage of sales from 8.33% to 9.96%. On the news their share price rose 2.5%, they are profitable and pay a dividend.

This deal could be their initial investment in what could become a buyout or reverse takeover (RTO) of SAV depending on how the project progresses and the future funding develops.

Whatever way, SAV shareholders and investors will be the benefactors in the long run.

New Chairman Elect, Rick Anthon, has the right credentials to guide SAV into the next phase with plenty of experience in the Lithium Mining sector, a very good choice, (he is also a lawyer, as was the late CEO David Archer).

Waiting now to see who AMG put up as a director to oversee their investment and enhance the board.

It looks a very strong team that represents all aspects of a mining company in Portugal.

Former chairman, Matthew King, is retaining his shares and remains ivolved in the background.

In addition, our lithium sector knowledge will be further enhanced by the incoming director from our new largest shareholder, AMG, who we look forward to welcoming onboard in due course. There is also significant depth on the Board now in terms of Portuguese business experience, which is supplemented with broader international business experience and substantial knowledge of international capital markets.

Yes CM, like you, I have felt the same over the years, but this is serious money being pumped in by a big German concern, I can't see them doing it without due diligence and prospects of a good return by getting in early, which really amounts to a joint venture, with them as a junior partner.

It is a shame David Archer didn't live to see this come to fruition, but we are grateful he sowed the seeds and saw the potential of a lithium mine in Portugal, despite a few false dawns along the way. Glad I too kept the faith.

I expect a small fall in SP when the new shares are added later today, although the striking price was at a premium (4.67p) to offset the dilution ... it could represent an opportunity to buy more on any drops.

It will be a very interesting AGM on Monday, bouyed by this announcement and other news for the year to come.

These 4 represent 31.38% with several large Institutions under the 3% disclosure threshold also being major shareholders.

With the share price just about to breach the last 4.0p rights issue, those that were seriously underwater earlier this year, when the SP dropped to 1.8p, will have to be convinced at the forthcoming AGM to stay on board and be prepared to invest more now that things have started to move again.

So, every piece of confidence and promising news is now vital to sustain the SP, to attract those willing to invest in the next stage and future of the mine.

Where did these 58,639,660 shares come from and how much did they pay for them to get a 3.2% total holding?

Were some of the late David Archer/Dale Ferguson shareholding moved sideways in a private transaction?

Or has there been a placing we have not been informed about? 58m shares in the free float does not appear viable.

Looks promising that it is a major Portugese company with plenty of influence in the region ... will they attempt to reward the locals with incentives of a special share distribution to compensate them and allow the project to move forward quickly? ... As usually happens, there has to be a lot of greasing of palms to placate those in opposition.

Deeply saddened to read this, he was the main reason I invested in SAV back in 2014 after meeting him at a presentation and later at other gatherings and promotional events. He will be greatly missed, sincerest condolences to his wife and family.

I notice from the share register details of what seems to be the transfer of his holdings to Dale Ferguson back in December 2023, so provision for his passing may have been a pre-empt for the sad news we have now received.

I would be much happier if the RNS's would say ".... we are delighted to announce" ... rather than ".... we are pleased to announce" ... only then would the announcement be likely to spark a significant rise in the SP.

Remember, there are a lot of investors here, corporate and private, who have taken up the discounted (at the time) fund raises (think the last one was at 4.0p), only to see the optimism shrink and other factors intervene and the SP return to the doldrums, leaving those that took up those offers seriously underwater.

Now there is some daylight ahead, hopefully, smooth and continued progress will be made and a full recovery achieved and go beyond for all of us that have kept the faith.

Looks increasingly like a striking price of 3.0p is envisaged for any fund raise and the markets seem to think the same ... any big investor will want a discount of sorts ... a small rally to make it look feasible?

Does the appointment of a a joint broker signal to the market that there is (are) fund raising and placing initiatives planned for the near future that will inevitably dilute the share price for a short while and why there is a drop today in the SP on the news. Could be a good buying opportunity once the fund raises are announced, before news emerges of positive activity and results of the planned JORC sample drilling and prospective life of mine.

From the recent Director Deals register on here, Dale Ferguson and David Archer show as the 2 major individual shareholders of SAV with 51m+ & 49m+ shares respectively. These totals have increased over the past few years in respect of remuneration packages and buys. The recent death of the Al Marjan Ltd director has so far not impacted on the share register, so his shares are probably under the umbrella of "Al Marjan Ltd" who are still the majority shareholder with 16% which is currently valued at about £8.5m ...

Pleased to see the relisting and resumption of trading in SCGL, albeit with a big spread (14%+).

Reassured by the Chairman's statement of a MOU with Gongqingcheng Yuxin Investment Management Partnership (Limited Partnership) ("GQC") to make the company more efficient, with a future strategy of expansion after some difficult years.

He says they need to invite more investment from creditable alliances, so a forward business plan needs to be implemented to attract substantial funds to secure the future growth and return for shareholders.

The pruning of the losses for year 2021 goes a long way to restore confidence, but turnover needs to be substantially increased, with new avenues explored in a growing marketplace.

Delay and suspension:

The Company is currently working with its auditor, PKF Littlejohn LLP, to complete the audit of its annual financial statements for FY22 as soon as possible.

The Company operates primarily in Hong Kong and mainland China, and its preparations have been considerably disrupted by various lockdowns and other pandemic related consequences in those regions.

The Company will accordingly not meet the 30 April 2023 deadline required by the Financial Conduct Authority's ("FCA") Disclosure Guidance and Transparency Rules to publish its annual financial statements for FY22. As a result, the Company's shares will be temporarily suspended with immediate effect.

The Company will request a restoration of the listing of its shares on publication of its FY22 audited financial statements.

This follows an upbeat statement from CEO/Chairman that they have renegotiated with their Danish hair products supplier to now distribute to their to their exclusive clients without having to pay up front, in full, for the products, so improving their cash flow. To date, sales have far exceeded expectations and bodes well for the future as the Asian economy recovers from the pandemic.

Let's hope hope this is a small blip before SCGL bounces back and shoots up the index.

You will see 1min 32secs into this video at least 20 Wind Turbines on the horizon ... and this is supposed to be a World Agricultural Heritage site of natural beauty ... hardly natural beauty with those monsters blotting the landscape ... did the locals fight against those? ... Or are they now appreciating the benefits of a supply of cheap, carbon free, energy?
There has to be a trade off in these situations, no doubt the locals will be generously rewarded for the impact on their livelihood and locality ... With the Portuguese Government showing favour towards the mine(s) they must do everything they can to placate the local community with Savannah Resources doing the same.

Can we expect appeals against this and the EIA when it is published as further hurdles and delaying tactics are implemented by the local opposition?

With the Australian giant having been disappointed by the Serbian Government's rejection of its licences to mine lithium at its giant Jadar US$2.4billion project, with further opposition envisaged, it has had to shelve the operation pending further derisking of the development process. This would have been Europe's largest lithium mine with a production of 58,000 tonnes of refined battery-grade lithium carbonate per year. .... But the acquisitive mining conglomerate did not rest there, it has since completed the acquisition of the Rincon lithium project in Argentina for US$825 million, following approval from Australia’s Foreign Investment Review Board (FIRB).
So, with their previous association with SAV in Mozambique in the aborted mineral sands JV, surely they would be favourites to rejoin with SAV and buy into the promising Barroso Lithium Project in Portugal to scale up the mine and be reinstated as potentially the largest miner of lithium in Europe after the disappointment of the Serbian project.
The Portuguese Government would surely welcome a company as large as RT, with its reputation, getting involved in a lithium project with all the benefits it would give to Portugal and its people.
For SAV it would be a win-win situation.

A month has gone by and still no update on the Directors Deals & Holdings on here, although there is an acknowledgment of the total increase of shares in issue is now at 715m+ in the Company information section.
With the Company being registered in The Cayman Islands, perhaps there isn't the same requirement for a Confirmation Statement to be issued of the change in the CEO's total holding, as if it were registered at Companies House in the UK. ... The easygoing lifestyle of The Caribbean means there is "No Hurry ... No Cry".

Today is the day the Conversion of Loan shares are added to the register for trading.
CEO/Chairman, Law Chung Lam Nelson's personal director's holding should be updated to 137,168,500 shares when added to his existing portfolio.
With the total shares in issue now 715,815,080 his total holding amounts to 19.163% of the company (plus, he has about £750k of his own money remaining in the loan account, including director's fees he hasn't taken).
Waiting for LSE to update the Director's Dealings segment and the dilution to have an effect on the SP.

Is there any monetary value to SAV in the divestment of their remaining holding for the option to mine in Mozambique?
Will we see any eventual rise in our share price (fell on the news) once this agreement is signed (if it ever is)?
I note that in the RNS they now call themselves:
"Savannah Resources, the European lithium development company" ... perhaps a bit premature, so far they have not "developed" or produced any significant amounts of lithium ... until there is a working mine this is the usual promissory stuff they like to allude to ... sounds just like the past "David Archer'isms" we are familiar with.

It will be interesting to see the effect of the dilution on the share price when the new shares are admitted for trading on 5th January 2023.
It could represent a buying opportunity to join the Executive Chairman in what looks to be a very shrewd bit of business.
