I admit I haven't gone through the announcement line by line but I would be surprised if the vote was imminent. Despite being a significant shareholder AMG would, I would think, be going through a due diligence procedure to confirm that the bid will definitely take place.

With you OG. I think it is a nailed on certainty that any shareholder not voting will see their votes effectively being cast in favour of the bid. In my 40 year experience of participating in the casino of jam tomorrow smaller shares I cant remember a single instance when a takeover recommended by a companys board was overturned by a shareholder vote. I have no doubt it has happened, but not to me! That is logical, because unless you believe the board to be incompetent and corrupt you cant argue as they know far more about the companys prospects than bulletin board heros like us!

Sometimes it works in your favour, to return to Bacanora that takeover was very unpopular with shareholders as the bid left many 'underwater', and in fairness to to EIDR the bid was sweetened for no obvious reason as late on as the deadline neared Bacanoras shares in ZNWD were distributed as part of the bid rather than being retained by Ganfeng who was the offeror.

The bid went through much to the annoyance of many small shareholders, and thank goodness it did! Shortly after the bid Mexico sort if took control of all strategic metal production and, when I last looked, several years on the mine was deserted and the whole situation was in the International Court of Arbitration. In other words Bacanora shareholders would have been wiped out if Genfeng had been rejected and I think that might have cost me a 6 figure sum. EEK!

To be honest my interest is likely to end shortly after I receive my shares, if for no other reason than it will make the CGT calculation a whole lot simpler - if you stay invested you end up having to calculate how much the 5p cash part cost you from the amount you paid for Zinnwald purchase(s) by apportioning!

If there is no counter bid from another party why would they? AMG have over 29% of the equity and the ZNWD board are recommending the offer so have pledged their holdings as have other shareholders. So AMG have irrevocable pledges totalling 50.14 % . Despite that the shareholders may, I assume, mathematically still be able to reject the bid I suppose and if so the bid may increase. I cant see that its likely but we will see in the fullness of time. Minnows like us will be forced to accept what the big boys say.

Realistically the acceptable prices will be different depending on individuals buy in prices. I have been popping in and out of Zinnwald since being 'given' free shares as part of the Bacanora takeover by Ganfeng, and am personally am in profit at the proposed takeover figure. If this takeover falls through, and I don't see any white night on the horizon, we will imo see the SP back in the 6p region. Given the glacial progress, and the hurdle of getting a plant funded and built, that means that I will inevitably vote in favour.

Don't we know each other from Bacanora Mr C? i may be wrong.

Just noticed that. I was contemplating putting another chunk in here for a hopefully nailed on 10% - 15% uplift over the summer, but in the end just invested by modest cash balance that I had in my ISA yesterday. Happy to be in profit!

Yes I'm aware that some platforms don't support shares listed outside the UK. I managed to progress a buy quote in iWeb using the AMG critical metals ISIN number ( NL000088869), as the code 'AMG' generated a quote for Atlas Metals which is a London share! Still not very happy with the service I had from my broker, maybe I'll take my business elsewhere.

Has anyone received confirmation, subject to your platforms own internal rules about holding shares quoted only in Amsterdam, that AMG is definitely able to be held in a UK Stocks and Shares ISA?

I'm having a nightmare with this. I am trying to get Scottish Widows (previously iWeb) to confirm that if I hold ZNWD shares though to the end of the bid process then I can hold AMG shares in my ISA with them, that will depend on their own rules about foreign quoted holdings. Blood and stone springs to mind. All I get is effectively 'think so'. That's no good to me so I've thrown my teddies out of the pram a bit. Grrrrr. I was thinking of investing further on the possibility of a 10%+ uplift over the next few months, although the AMG price and £/Euro exchange rate fluctuations would need watching.

As I write Greatland Gold up 10% in the past 5 days. Ariana 0%.

Just wondering what your thoughts are about Wetherspoons vs Marstons (who are quoted) and Greene King (who no longer are).

My understanding is that JDW is higher profile but not the largest pub change so will it be the last man standing?

The bottom line is that shareholder relations and communications are at the moment, and historically of course, very poor.

Are we expecting production guidance now that, as someone more intelligent than me pointed out, the basis of Ariana's interest in Zenit is no longer on an 'equity' basis but for accounting now recognises its minority 23.5% interest and thus lack of control?

I suppose that's fair enough but shouldn't such a seismic change of expected shareholder information have been explicitly communicated (if indeed true, maybe production estimates will still belatedly appear)?

From recent posts you, me, Van and a few others are placing a lot of trust in the new Chairman. I hope he will prove to be someone who is 'his own man', not allowing MDV to remain effectively as Chairman by proxy due to his 'presence' and shareholding. I have a good feeling Mr Atkins so far, lets hope its not misplaced.

Agree with your post though sadly the SP slipped back again pm.

In theory many market commentators are expecting the gold price (and as importantly, for Tavsan/ Kiziltepe at least, the silver price) to continue its interrupted run, though this is not guaranteed. More a case of expectation based on historic market turmoil/ oil price spikes. Personally I would be content to know that we have a solid floor around $4500 as that gives a huge potential margin at both Dokwe and Tavsan/ Kiziltepe.

You mention the board appointments by which I assume you mean the Chairman and CFO. There is also a board representative from Xinhai who hasn't appeared yet - technically I suppose this might not ever happen as I believe it was phrased more in terms of Xinhai having the right to board representation? This is from memory. I can't imagine they will neglect taking up the opportunity.

According to the company website MDV has 2.71%, so less than the 3% needed to declare changes as a shareholder. That's why I hope the Deputy Chairman role is a Board Appt ( don't think a 'pure' Company Secretary is), as senior management would need to declare. Implies to me that if he ceases to be Deputy Chair then he goes 'off grid'. I am not sure as Corporate Governance is not a strong point of mine. I suspect some may think I'm rambling about nothing, I just think changes to his shareholding would illuminate near term prospects, though from another standpoint he's getting on a bit like the rest of us and in time may simply want to generate cash to go down to Wetherspoons for a full english and a Guinness..

Hi Van. Not surprisingly I have much the same thoughts. I too wondered why we need a deputy position, maybe its a sop to him, maybe it will be only temporary as emcauslan suggests. An AI query suggests he will still be a board member as deputy chair, which may be significant for us to see if his shareholding changes as I'm not sure that his shareholding, though large, is declarable? Not 100% sure.

My point is that like him or not he knows the company and its immediate prospects better than we do. If he starts to dispose of shares, especially at this depressed level, it would be very worrying to me.

Personally I wouldn't mind if Sener stood down as well. Many, me included , don't think he has grown into the position of CEO, it's as a geologist he seems to have impressed most. And there are other fine geologists in the world - well you didn't expect me not to be contentious!

To sum up something is obviously happening with Ariana. Not sure what, or the time scale (hopefully short).
