When will they release the 80 million shares?

The Rns says that the board is seeking authorization for the the 80 mill shares to be valid until June 30, 2026.

They could sit on them for up to 4 months, untill the share price recovers from this complete over reaction, and then set the rights offer at a reasonable price and not on this ridiculous low price we are now..

They don't have to release them the day after the EGM!

However, it also states, ​"The subscription period for the Offering is currently expected to commence and end during the first quarter of 2026."

So end of march.. but that was 'expected to commence", not giving an exact date... so maybe with the markets over reaction, this will allow faron to allow a breather time for things to settle down...

Plus they still have a 10 million tranch of convertable bonds from heights capital they can draw on to keep the boat afloat untill they release the 80 million shares..

So basically, ypu had to own by end of.today to have the right to register to vote at the EGM.

On the 2nd march they will vote for authorising 80 million shares.

If it goes through then they can offer the rights to buy and the date to own will be something after that vote.

So will there be a sell off tomorrow? Why should there be...!

On the 2nd of march, ​"The Board proposes that the EGM authorises the Board to resolve on the issuance of a maximum of 80,000,000 new shares in a rights offering... offered to the Company's shareholders for subscription pursuant to their pre-emptive subscription rights in the same proportion as they already hold shares."

​"The subscription period for the Offering is currently expected to commence and end during the first quarter of 2026."

The must own date for Rights will be announced after March 2.

​To get the actual rights to buy new shares at a discount, the RNS makes it clear that the Board must first get the "authorization" at the meeting.

Only after that meeting will they announce the new Record Date for the cash offer.

Just looking at the RNS,

​"Each shareholder who on the record date of the EGM, 18 February 2026, is registered in the Company's shareholders' register held by Euroclear Finland Oy has the right to participate in the EGM."

​"Changes in shareholding occurring after the record date of the EGM do not affect the right to participate in the EGM or the number of votes held by a shareholder."

​So, If you own shares by the end of today, you have the locked in right to vote on March 2 for the 80 mil shares to be sold.

If you sell tomorrow, you still have that vote, but you won't necessarily have the rights to the new shares later.

So the basic maths, for everyone whi is struggling with this is simple. If you already own and have a paper loss. If you want to lower your average then the cheaper ypu buy at will bring your average down quicker and with less money..

Its not rocket science.

But what the lack of understanding of this basic math principle shows is most people people probably shouldn't be doing any sort of investing!

The lower the share price the better it is to average down. And the less money you need to average down!

Some.seem to think the higher the price is the less money you need to average down..

Well its the last day to own shares before the rights offer.. the cheaper it is the more you can buy and the more rights offers you will have..

Makes ypu wonder if the price is being pushed down for this reason..?

Will be interesting what happens tomorrow..if the price rises again.

Bottom line, we don't want the price now to be too low that the rights offer is then even lower and they cant even raise the 40 million with 80 mill shares..

While alot are crying over the shareprice being low.. if he thinks faron still has a blockbuster drug, this low price is only a gift, especially if his game is the long play to market!

I d ont think its simply a case of him buying millions more to lower his average.

He is Chair of the Shareholders Nomination Board.

​He decides who gets to be on the Board of Directors. Which gives him power to move the chess pieces.

​if he feels that the Board isnt giving shareholder value. Which he is one of them then he has influence.

Timo as the largest investor, who has helped faron out before when they were in a tight place, could negotiate a backstop. Buying everything the public is too scared to buy.

​In exchange for that promise, he could demand Warrants giving him the right to buy millions more shares in the future at today's low prices, long after the stock has recovered.

I wouldn't be surprised is after this he will up his percentage of ownership to over 20 to 25%

Makes me wonder if a big pharma who never got a deal would use this opportunity to buy loads of shares via a subsidy and end up paying way less now than than they would have

Well I will be taking up the offer at whatever price it is..

I was up quite a bit and now im down.. so I will be averaging down..

If the rights offer is taken up.. I suspect the price will rebound somewhat due to confidence they are funded for phase 2.

However, I think the management needs to take a hit on their wages and streamline their costs.. if you look at all the guys on farons website.. it does make ypu wonder what they are doing all.day long to deserve their big paychecks!

And they all had better take up their full allocated shares!

I assume most will be averaging down.. realistically, how many would have an average below £1?

Ive said it before, the lower the share price for the placing is your friend if you are averaging down.. and most will be averaging down.

No need.to panic.. yet..

If no one takes up the offering, then start panicking!

However, you need to be a share holder by Wednesday or you dont get the cheap shares.. and the more you own, the more you get..

And remember, you can sell your rights you dont us!

My gut feeling based on the price now. The markets have said all 80 million shares will be let loose at a price of 44p which is around 25% discount on current price.

But thanks to Charlaine for the translation.. thats not what JUhu was expecting.. a such low price and a overreaction on it

They cant tell us the price of the offering until they have the EGM to agree on releasing 80 million shares.

And finish law requires a minimum of 21 days from the announmemt of a EGM to the EGM to give shareholders enough time to tell faron if they will attend ect

JR, with all due respect, no institutions are going to pay 1.35. I know it bucks that the price is now where it is, and it is a overreaction. But unless it rises back the rights offer will be low.

And if b you knew how to do maths, would realise the lower the price the better, for averaging down

I think you are coming from the hope tg a t the price will be high so you dont have to average down..

But thats just a pipe dream..

SteJ, a higher price is never better for lowering an average regardless if its a 1 for 1 or a 2 for 2 offer.

It just means you need to spend more to average down.

It still stands, the lower the offer is what we want if we need to average down

The logic feels backwards because we usually think lower is worse. But when the goal is to reach a specific target average price, a lower price is better.
