Yes if the takeover rule gets applied.

If its PIF, then this should be classified as a takeover by the City, in which case we are looking at 50p per share.

they will rush it through to get the wheels turning, saudis dont sit about.

If the saudis are behind the takeover, then they will have bottomless pockets.

they know the writing is on the wall that oil is being phased out.

the saudis can easily afford £80m to pay for the freefloat of 166m share.

If it is the Saudis that are buying up Pinnacle, then this should be put in the takeover review by the City.

In which case, they can pay 50p per share.

The settle price should be around 1.6 after the vote.

As there is a potential that Rule 9 of the City Code on Takeovers and Mergers, I suspect that Pinnacle will start buying up from the free market and also have a proxy buying up so that they can leverage that for a positive vote and own more of the "20%" before they take over.

Looks like a good pay day is on the way. And will sell my shares to Pinnacle at 25p a share.

From the RNS:

"The Subscription Agreement is conditional, inter alia, upon:· the UK Panel on Takeovers and Mergers (the "Panel") agreeing to waive the obligation under Rule 9 of the City Code on Takeovers and Mergers to make a mandatory offer for the entire issued share capital of the Company which would otherwise apply to Pinnacle upon completion of the Subscription and conversion of the convertible loan facility, subject to the approval of independent shareholders of the Company (the "Rule 9 Waiver");"

As such, if the City decides that the 80% is a "Takeover" that will mean Pinnacle will need to pay the "20%".

I expect they would be prepared for that as a potential, and built the deal with that as the plan, but tabled the deal as a bail out to avoid the share price running up before the vote.

So after Monday, there is a real chance we could see an immediate offer to buy the "20%" to push the whole deal through.

Once pinnacle has 100% of the company they can go fully private, and given the urgent need for sodium batteries means within a couple of years they could spin a £43m investment to £400m and then relaunch on the main market selling 30% equity for £120m, making 200% profit plus still owning 70% with a 5 year view of £2b MCAP.

A 20 bagger from here would be 24p.

Considering the IPO price valued the company at £61m, for pinnacle to get the whole company for £43m is a bargain.

Plus they have bought at the starting point where this company are about to go interstellar with the whole world massively investing in battery and looking at sodium as THE battery tech.

I agree, Pinnacle would only be spending this money if they had a plan and more money ready to invest in getting the business moving.

If they are going to buy the 20% then they would do it immediately before roll out to avoid share price jump.

The question becomes how much would Pinnacle pay for 166m shares, could see 10x the current outlay so £25m = 24p a share.

What we expected next is revenue and production growth.

Given the fact that everyone is now rushing as fast as possible to get batteries in to production it will be mere weeks until we start seeing crazy extra funding and good news.

Could see this share move up to the 50p region before getting delisted for relisting on the main market.

Hopefully its a big multi-national foreign backer that can grow operations and assets aboard to grow the share price.

Alan Hollis (CEO) and team should have the following set up and ready to go for once the Pinnacle funding is sorted:

1) UN Safety Certificates Approved = Massive UN Contracts for Sodium Battery shipments to Africa and South America

2) Plans for factories or OEM partnerships abroad = IP Ready to roll out product globally

3) New Customers and Partnerships = Solar Companies, CalPac Resources, Cosworth etc....

4) Additional Funding from various Governments grants and new investors

RE: Alan said the plan was main market listing, so they know that soon the company will have good revenue streams and contracts to support this.
