This is a good company with sensible leadership who I (in my humble opinion) consider to be honest. That already places them higher than most Aim leadership. It isn't a guarantee of success obviously but at least they won't deliberately shaft PI's, like some directors would do without thinking twice about it.

Interesting Blue Square, but I don't think that situation is the same as this one. That one was where Panr had an option to elect to issue payment in shares, but risked being unable to exercise that option during the period as they would have been in possession of sensitive data not disclosed to the market.

Here it is the Bondholders who had the option to elect to have payment made in shares. As pointed out rightly to me though, why would the Bondholder currently want payment in shares at 25p a share? They wouldn't.

Xmas week can work both ways. Typically, although the main investment houses shut down or are just partying, PI's are around. Some companies move on low volume during this period whilst the big boys are away (not that larger companies play here much anyway)

As part of the Fundraise, the holder of the 2021 Convertible Bonds (the "2021 Convert Holder") has participated in the Placing for $2.5 million. At the same time, the Company has also agreed to satisfy its quarterly repayment obligations in respect of the 2021 Convertible Bonds falling due on 13 September 2025 by issuing and allotting 7,424,277 new Ordinary Shares at the Issue Price (the "2021 Convert Shares"). In addition, the Company has granted an option to the 2021 Convert Holder, exercisable at any time prior to 13 December 2025, to satisfy its $2.47 million quarterly repayment (including interest) due on that date by the allotment and issue of further new Ordinary Shares at the Issue Price. Upon repayment, or the earlier settlement in shares of the December 2025 quarterly repayment, the 2021 Convertible Bonds will have been repaid in full.

The shares were never issued, as they won't be electing to convert into equity but yes, the BTC holding goes down. They then have to raise (if they want to buy more BTC) at a much lower price. They only did the Smarter Convert because funders had enough of the placings where they were immediately underwater, otherwise they would have placed at £1.95 or wherever. That would have obviously been much better for the Company (but not the investors lol)

I think that the expenses and lack of organic revenue from the trading company will be a shock to some when they are released.

Don't forget the debt either, when working out a fair value. They will have to compensate the lender for the investment they made at £1.95 per share (unless the SP is back over that level by August)

They'll either have to sell BTC to pay that debt (damaging the 10 year strategy) or raise the funds.
