Concern here is that he buys, say, 1,000 boe production for $20m; next day indicates to ii that he can do a larger deal for similar assets from the same company of 4,000 boe for a further $80m, and as it is no longer a shell, and he can demonstrate the assets on offer, the ii can invest - and hence will do a large placing of twice the $34m , and is raised at £1.
That's why I'd be concerned about paying a premium at this stage. These large institutional investors want to invest at the same price as the IPO but their terms for investment do not allow them - so a way will be found to structure the first purchase to let them in at the original IPO price.
Is there any basis for this concern? Am I missing something?
