WyBased----July 22nd Announcement in the bond terms. Also it states:

"A structure deliberately designed to support COPL and senior lenders with the implementation of an RBL agreement."

does not mention shareholders !

The initial Bonds came with this clause dated 22nd July...has this been applied ..I dont think so....

General terms for the Bonds and Warrants include standard features of EMEA convertible market including anti-dilution, change of control, short-selling restrictions and customary closing conditions precedent.

Do you know who owns the other 3.9% and 14.3% ? Also why do we have to pay those other leaseholders ? Does not make sense to me ?

The Company's assets are located in the Powder River Basin, Wyoming, US, which include an oil exploration unit

consisting of a 96.1% working interest in the Cole Creek area (the "CCU") as well as an 85.7% working interest

in a secondary recovery unit for the Shannon formation in the Barron Flats area (the "BFSU") and other nonunitized lands complimentary to the assets. In March 2023, the Barron Flats Deep Unit (the "BFDU") lapsed as a

result of missed drilling obligations within the unit. At the time the BFDU dissolved, 2,693 net acres of

undeveloped land were lost, which consisted of leases that were not producing at the time of dissolution and/or did

not overlap with the BFSU. However, the Company does continue to hold an additional 4,750 net acres of term

leases in the Barron Flats Deep (the "BFD") area that will expire in the first quarter of 2024 unless additional

development is conducted in this area perpetuating the leases. The lost acreage in the BFDU did not affect the book

value of the assets as no value was attributed to these lands on the acquisition of the assets.

The key to all of this is ShoreCan and the accounts there. ShoreCan disappeared from the RNS statements on the company in April 23 when TR joined the board. (2 days before his announcement). From the annual report 22

During the year ended December 31, 2022, COPL and its subsidiaries charged ShoreCan management and

technical services of $0.2 million (2021 - $0.6 million) and charged an interest expense of $0.9 million (2021-

$0.4 million). As at December 31, 2022, the Company had non-current receivables of $15.4 million due from

ShoreCan under the terms of the funding agreement (December 31, 2021 - $14.3 million)

Non Current receivables = Total money given to Shorecan .......for what ?? What is an interest expense ?

During the period of ShoreCan, approximately $30m was taken in placings , and $15m pumped into ShoreCan (according to the accounts). It was also during a period when the Viscount was on the board. Nothing was delivered and the assets at the end of the period were $0. Wonder where that money went :-)

Its the bonds, the secret accounts and people involved. To have a member of the house of lords on the books for 6 years says something. It didn't really matter what they were pumping to the market, provided it allowed a mechanism for placings, that was good enough. The bond deal I suspect was the exit strategy as I feel nobody else would invest. No RBL and JV was the time for AM to move on. The only way I feel to get justice in all this is for HMRC to look into the accounts and how they accumulated so much personal wealth. As for us getting any money back, its gone sadly, however the captain of the ship and his navigation team should go down with us for deliberately steering us into the rocks. IMO

Its amazing how much debt considering they have taken over $200M in placings etc. During the period from listing on LSE to just before buying the oil assets, the accounts showed $142M in placings. It was also a period when they had a Viscount on their books, who is a member of house of Lords. For this $142M, the accounts showed less than $1M in assets. During the period when they accumulated this $135M debt, the were further making placings in the market. Overall , in 10 years, they have taken approx $230M from equity , and left $135M debt and on book $110M assets . They accounting practices are in place to hide this money.....its a massive fraud.

As for the oil in the ground, that's not classed as an asset as its licenced on a lease. If they don't produce oil against the licence terms, it could be taken away from them on expiry , as disclosed in the 2022 Financial reports.

Yes , ShoreCan was a shell it looks like to hide money. Why does the COPL accounts state that its still paying money into it when FA has happened for years . Surely were not that stupid !

It all sounds very suspect. I don't think a JV was ever on the cards and they pulled out in Jan 23 as no update was provided by AM.

The questions I would also ask:

Who was the JV in October 22 ?

Why did they pull out and when ?

Why was AM positioned to complete the talks when so much was relying on it?

Why have we not heard anything about AM since his "move" in Sept. Was he still with the company in Sept or was this a false statement? Is he still there now ?

What has happened to ShoreCan despite £15M being spent on it?

Where has the £5M gone from the hedge restructuring that was to provide cash flow into 2024 (This cost a deferred 11.9M swap loan )

It all just gets messy when they tell you one thing and the complete opposite happens.

The financial riddle behind this scam is huge, and if the FCA don't look into this properly, it will open the doors for other LSE companies to deceive and lie to investors for their own gain. It already happens as we all now, but this is quite excessive as people have lost £M's . I personally lost 15K , and invested on given information from the BOD. Lets all never give up...as that's what they want.

As previously disclosed, COPL was approached late in the third quarter by a large oil company ("JV Party") inquiring if the Company was interested in a Joint Venture partner to appraise and develop its Barron Flats Deep oil discovery announced in September 2021. The Company presented its outline of a joint venture to the JV Party for discussion. COPL understands the concept is moving through their internal processes as the Company has been asked for additional time for the JV Party to present a potential way forward. COPL has agreed to this request and has been recently advised that a potential way forward will be presented by the JV Party in early January 2023.

No Updates were given in Jan, but in July they said this :

COPL and an established energy company ("JVCo") have entered into an LOI for the negotiation of definitive agreement(s) for a Joint Venture (the "JV") to develop and exploit its oil reserves and resources at its Cole Creek project in Converse and Natrona Counties Wyoming.

So I think the big oil company "JV Party" walked away early in 23......and in July they changed the JV to a energy company called "JVCo" .

IMO - I think the JV Party walked away early 23 and the JV LOI announcement was false.

Also, what happened to ShoreCan. ? I think that was a shell to transfer and hide money as £15M was invested in this and we have not had any announcements about it. Also on the day T Richardson was appointed on April 20th, the "about the company" statement on each RNS changed and ShoreCan was removed. ?

There is nothing like the media to get everyone excited, hence we pumped loads of cash into this outfit. AM has disappeared after making his £M's out of this leaving the SP to crumble. The action group should be putting together a factual response that the media could highlight. What I mean is that the "The million dollar discovery has led to no production as the company has been sold down the river by the man making this claim" ...and as AM is still president ...ask for him to comment.

Dealer 55 - Point taken :-).. I guess a bit of frustration is creeping in as the RNS was a bit "grey". I think VAST should know by now if they are going to ever recover the Diamonds or just say its impossible thus we are looking for alternative financing. An update on status would help.

If they do recover them...the only thing I know is that this share will explode. Its worth a punt IMO
