I am not saying they will but I don't see why DSM wouldn't want to buy us out if..... They manage to bag the "significant global customers" they keep talking about and the "multiple of existing Fruitflow sales" from By-Health comes to fruit.

DP64, Options are given to workers as an incentive. They are subject to performance criteria and also in this instance share price appreciation. If they don't meet the criteria they don't get the options. (unless there is a change of control of the company)

You are correct in saying that this is the first time they have said "Change of control of the Company" in a grant of options RNS.

Why? I don't know but it shows that the options are safe and can be taken (vested) if,for example, the company is taken over.

You would be a tad upset if you worked your butt off to meet the criteria for options only for the company to be taken over before the vesting date (1 April 2027) and the options were canceled.

Its still owned by the shareholders and managed/run by the same Board of Directors.

‘trade secrets’ will cover a lot of things and could include FF as a Drug or something else that might be being worked on under the radar.

As long as there is a value to it if an early buy out were to happen.

The intellectual property they refer to is outwith the five patent families that they highlight in the results. These patents can be found online. As for the trade secrets, well, they are secret :)

Its to protect the options/warrants issued to IF and the scientific, sales and marketing consultants in the event of a buyout.

Previous options that have not been vested may or may not be covered in these terms (I don't know)

The scientific, sales and marketing consultants are not employees of the company and don't get a wage.

This one might get mixed views but they all count.

From the Final Results

"The year ended 31 March 2024 included nine months of the royalty at the first-year rate to 31 December 2023, and three months of the royalty at the lower second year rate. Royalties payable to DSM are included in cost of goods."

Half Year Report

"The six months ended 30 September 2024 included six months of the royalty at the second-year rate to 31 December 2024. Royalties payable to DSM are included in cost of goods."

As they were not paid they were recorded as a liability.
