We can only trade when a trading system is in place, I am sure they will have that in place as soon as they are able, they would not gain anything by delaying this, so I am afraid we will have to wait these few weeks.

cont. from my last post ..... when I spoke to the secretary (Mr Hayhurst) I did press him into the issue of the urgency to set up a share trading system after the 30 June, I explained to him that people like us have put their confidence in the company so we deserve to be looked after and that the share trading system is an urgent request that I pose on behalf of all shareholders. Although it was difficult to get a date from him for this set up, yet what I understood is that it will be done as soon as they are able to approve a reliable system, and that they hope it will be in operation within maybe 4 weeks or thereabouts from the date of 30 June. This will be posted on the Acertec site. I just though I would share with you this info, and I hope that anyone else who also comes across any other info would share it with us all ... gl to all

Hi everyone, I was away all day so could not post earlier, I usually come to this chat and find 1 or maybe 2 new posts , but today there were at least 3 pages of posts :-) .... all because of the delisting approval ? .... maybe we should have a delsiting every day so we can hear from all of you sleeping partners :-) .... Anyway, I did speak with the secretary of Acertec and he confirmed that certificates will be sent to all shareholders who hold electronic shares, and this will be sent from the Registrar of Acertec. Upon delisting, the Registrar will receive all the relevant info from all the brokers who hold electronic shares for people like us, and this info will enable Acertec to send us the certificates. I also remember that I anticipated that the big fish in Acertec who know more than we do will top up in this week 22 to 29 .... they will buy lots of cheap shares from other shareholders who will panic sell as delisting is unknown territory for them, and it seems my expectations are starting to materialise. I say this on the grounds that for the first time since the delsiting announcement, the volume bought today was 3 times the volume sold. If that tells us anything it tells us that there are people out there who know that this is a solid company and also that the current SP is false and is an invitation to top up. more info in my next post, gl to all.

Morning surdy , the meeting is scheduled for 2 pm today. I suppose they may post the result either late today or sometime tomorrow. One thing we all have to do is if the delisting is approved, we have to all make our voice heard by phoning the company and making sure that they set up a trading system for shares asap ... and also a means by which any shareholder can get information about the current price of the company's shares at any time. By the way surdy, were you able to vote on this issue? and yes, everyone please join the YAHOO group which was set up by surdy (Acertec Plc) so we can all stay in touch, gl to all.

I am sorry to hear about how things went with your broker ..... as for my shares, HSBC did send me a letter with a voting card with all the info that confirms my shares and their consent for me to vote on their behalf (Cresta), and I did send that to Equiniti in West Sussex. The funny thing is that my total stock is 1,400,000 shares, but the letter they sent me said that I own 2,000,000 shares !!! so anyway I ticked the approve boxes and sent it, and it will be counted as 2 million votes, so in a way consider that I voted for myself and also for you .... I am a great believer that someone up there does what is best for people who mean well ..... you were deprived of your rightful vote, but on the other hand I was given 600,000 free extra votes which I do not own !!! So whatever the outcome of the voting on the 22nd I know that we will be ok with these shares .... keep the faith ... and gl to all.

I agree with surdy, nothing will happen to the sp before monday and specifically when the result of the voting is announced. The week between the vote (22nd June) and between the end of trading on AIM (29th June) will definately be eventful .... will people rush to top up before the end of the trading deadline (sp would rise)? Will people panic sell to get out as the delisting is unknown territory for them (sp falls further)? I believe the panic sellers would have sold by now, and that is why the SP dropped from 7p (just before the delisting announcement) to the current 2p. Then there is the other scenario that the delisting is not approved by the 75% required .... then the 29th June is void, and its trading as usual , which would see the SP rise slowly to previous levels .... But all this is my own speculation, I can be wrong .... people who give predictions are often left with egg on their face, I only try to rationally speculate by using available info rather than predict. gl to all

Hard to tell, but its very possible that it may go down to 1.5p or thereabouts .... and yes it would be a very good time to top up. If the delisting is not approved, we expect to see the SP to go up after the 22-23 June. If the delisting is approved the SP should still go up after the company is registered as private and a new share dealing system is in place. Also, if the delisting is approved, the week between the 22nd and the 29th July will be significant for the SP, I am eagerly waiting those days. One way or another, this is one of the rare occasions in share dealing when it will be possible to make anything between 100% to 300% gain in a matter of few weeks, the key word as I wrote in previous email is "uncertainty" .... for the panicking, unknwoledgable punters it is a killer .... but for those who invested good time in research into the company's particulars, it can be a winner .......... gl to all.

as I look this moment, buys at least double the shares sold ... that is always a good sign ...... these buys show confidence in this company and that this delisting is not a negative .... I knew when the share get down to 2p and even less, the big buyers will step in ..... I am waiting if it gets to 1p then I will top up, if not, I already have a big chunk in this company anyway so will just be happy with my current holding. gl to all

I can see and agree totally with your concern .... What I am still not certain about, maybe you know the answer, is which of the following is correct, ( with regards to electronic shareholders)? 1- the nominee (e.g. HSBC, Equiniti ... etc) retains the right to vote on our behalf, but if they elect to vote, then it must be in harmony with our preference, or they may elect not to vote at all. 2- The nominee retains the right to vote according to THEIR own preference and regardless of what our preference may be? If the second scenario is correct then they can (as you said) vote as they wish and we do not have any claim against that. But if the first scenarion is correct then if the elect to vote , it can only be in accordance to our preference. This is a legal matter that I have not investigated as I was able to find a clause in the terms and conditions that solved the problem. <<<< I will contact Equiniti and try to find out where I stand.>>>> please keep us posted as to how you get on with them ....

They did, and promised to send me a letter which I should send to ACERTEC, stating my stock and my right to vote ... etc ...... this will entitle me to vote on the proposal. I am not sure if these rules also apply with your broker, but its worth looking into, I hope this was helpful.

As you know, the situation with electronic shareholders is that we lose our right to vote. However, when I contacted ACERTEC and expressed my desire to support the proposal to delist, and when they realised I hold a large stock, they said that they will consult their legal team and see if there is a way for me to vote. Then I recieved the following form ACERTEC: <<<I have looked at the terms and conditions of share dealing services for a number of the large providers such as Barclays, Halifax, NatWest and Lloyds as well as HSBC InvestDirect (International) whom I assume are your brokers. HSBC seem to me to have the most restrictive rules on acting for shareholders. Rule 9.5 says "you will not receive any shareholder benefits and you will not be entitled to exercise any voting rights attaching to your investments" and here I think you should pay particular attention to the word "entitled" (i.e. it does not mean you cannot it means that you do not have an absolute right). Martion - who is your broker? I had the same problem, I am with HSBC ....... but I was able to find a way round it, so let me know who is your broker.

hi mate ....... the dates that have significant events are: 1- 22 June, general meeting for the shareholders to cast their vote for or against the company's proposal to de-list from the Exchange market 2- If the proposal is approved then the last day to trade the shares on the London Exchange Market will be the 29th June. 75% of votes required for proposal to be approved. 3- After that the company will re-rgister as a private company.
