Bluegrass I don't think the board can say anything till there's a firm offer. It already looks like changing their tone from the RNS to 'will opine if offer is made'.
Just have to sit tight, look at where its trading there's high risk this doesn't go through....

Post all of this we want to hear from the board and our largest shareholder what their intentions are with both BCN and ZNWD.

As John said none of us believe in his agenda and entitled to that view and to challenge it. So if you just want to cause an argument for sake of it go elsewhere.

As in subject line whatever the outcome here, offer and rejected, no offer, adapted offer etc.. All the work gone in from PIs and the latest message looks a change of tone to me “not a formal offer” and “board will opine” means it’s having an impact.

So if there is no offer or this deal doesn’t go through - I think we need to put serious pressure on the company to buy out solar world and start developing ZNWD in a JC format (most likely with emh).

Ganfeng alongside us can stump up the money for our share in znwd and Gangeng as a circa 29% owner in bcn can pay their bit. My belief was they had no intention keeping this asset and would have dumped it off post bcn. That’s disingenuous to us as shareholders as whilst it’s not our primary asset it’s still a potentially very good asset and It should not be allowed to sit there and fester whilst Ganfeng does what it likes.

For openness I am a shareholder in znwd also but this is something I mentioned ages ago about forcing gangfeng hand and the feedback on this board was “don’t upset gangfeng”.

That tone has changed so when we have an asset like znwd that has a strategic position and place they can dam well start putting some focus there and jv up.

Then we finally agree Malik, base case is BCN (ganfeng owned) sell ZNWD stake to EMH if deal goes through!
We both agree on the upside on the ideal scenario here which is EMH, get Ganfeng to sell stake it speeds everything up and will be very beneficial to both Znwd and emh.

you also need to understand the absolutely key part here is where the LISCENCING sits which is within BCN.
You do not run any risk of losing those by changing a company structure, BCN is the huge priority here for Ganfeng.

1 - Totally disagree when you make an intention to bid the cleanest and easiest way is to bid the whole share capital. It has nothing to do with ZNWD and all to do with Sonrera.
It also gives you room to spin of Znwd if you want to entice shareholders if deal looks unlikely.
There is also a chance they've had conversations on selling ZNWD stake if the BCN deal goes through.

2 - Again why would you want to hold it? They need resources signed off for Znwd - its not in their intention and selling the sake out makes a decent slug back on bcn. Its much cleaner and easier to buy BCN get it approved by China and during that time sell out stake in Znwd.

We are going to 100% disagree on this, and I believe BCN is trading at 56p because there is a large regulatory hurdle to get over here and uncertainty on the deal going through. If you dont think that same regulatory hurdle will apply to a German mine rather than listed stock in the UK for a mexican mine....then you aren't looking at bigger picture.

You say why would Germany intervene if VW need it - Well would you want China owning an in demand on your boarder, offering to sell it to your companies at inflated prices, controlling the flow of lithium? The German govt want VW to have their OWN sustainable lithium, local mining jobs, local companies making batteries etc.

I posted this before, 40% of VW volumes are sold into China. majority of that is produced LOCALLY by JVs (Saic, Faw, Jac). Ganfeng will ship lithium to their local factories to work with local battery producers that are Chinese owned to produce VW cars locally.

Imo Germany will intervene on a mine on their boarder for a strategic asset for their strategic car firms going forward.

Hi Tiptree, very high re cash call 70% plus (depending on outcome)- The ownership at the end of this is utter key, EMH will want to develop this quickly and remaining Solarworld stake will need to be covered.
It really depends if it becomes a JV with EMH or it gets bought out by EMH - The earlier means both need to raise cash, the latter means EMH should in theory enter a share swap agreement imo but might not work like that if they buy BCN stake from Ganfeng.

Malik let’s be clear I’m a large holder here and much larger in bcn - I am also not just some retail Punter.
Rather than just shout the same thing over and over again I actually listen to other arguments and look at different perspectives.
It’s clear we both agree emh is the most logical tie up.

point 1 - are they? There’s not even a bid yet and the deadline is rapidly approaching, if they have to give up znwd to get bcn trust me they will.
Regarding selling lot to emh do you know how it works with Chinese companies? You are talking absolutely months (possible 8 month alone on bcn deal) and why would they buy another company to then just sell to emh.
One minute you are saying they are going to spend loads of money and ramp up production next you are saying they are going to buy it all then sell to emh? Their strategic asset in bcn they never did that nor any of their other deals so why do that here for a German mine? Do you honestly think that’s gets through with German govt?

Again I don’t disagree with the strategic tie up with Emh and that’s the upside and most logical value driver for znwd. That’s why I am invested but I think you are wrong about ganfeng and how this progresses.

Let’s hope I am as be much greater upside but for me the driver here is with emh and we won’t know outcome there till bcn is finished with.

I totally disagree with you Malik, when the largest shareholder is undertaking a bid and you don't know the intentions of the outcome of that how can it double?
You can't just expect it to double because a mayor said it makes sense.
As said previously it makes sense that Gangeng offloads this to EMH then you see some sort of share swap etc but for this to just double on that 'Mayor comment' is a very far fetched comment to make.

Not sure if people noticed but marshal Wallace had a declared short position in bcn and to me was pre capital raise.
As Iv said previously none of this sits well with me at all, I feel like the price was pushed down to capital raise to then get to this position. I’m certainly not accusing just a sense and feel to say it traded a “certain” way.
If that was the case the raise was done cheap and this “50% premium” is fabricated to that point.

165 don’t agree on B - the process I think is too long for the share price to get to 67.5 you are talking 8 months potentially so I’d argue it trades 5-10% discount that “pulls to par” as time goes on. It’ll prob trade in a range if we get to accepted deal.
Also to be clear if B is submitted at 67.5 you still need to go through vote process so still enough chance is blocked.
I think you are missing D - gets blocked by govt or takeover panel.
With C I don’t believe a knight can’t just ride in with a superior offer, gangfeng on their own have a blocking stake. A knight will need to take a stake and would need to find a way of diluting ganfeng if intention was to take over. More likely they take a blocking stake and that would be ideal if it’s an industry player or a tough negotiator...

If assigning probabilities I think you are 10% for A, 60% for B (within that 50-50 on through at price v higher) 15% C and 15% for D.

Right here the board are thinking we can’t lose M&G we’ve already got enough pi”s saying no that it’s all hinges on m&g.
