I think Allan must have already conceded some Ground re having to include Canada in the MOU as having thought about it / surely we would prefer Trials in Proof of concept in USA so that we could Sell directly to Canada without concession ?

I may be reading too much into this but do we think that Alan Miller declaration of Shareholding was a Warning sign to the BOD / in that he may Sell up if things don’t go to his liking ? In my unfortunate perpetual bad experiences of MOU’s ever materialising into something Real / and as per what was originally set out / Then I have to say that this one has a relatively short Timeline being 120 days. 4 Months as opposed to 6 Month is welcome. Also / re the HNWI / I think 3 to 4 Months is Minimum Timeline they may need to get their Finance into place as we are pre Clinical Trials. If we were Post Clinical Trials then we would be in a different place for better or worse.

I found it strange how Allan played his hand re disclosing Terms of the MOU re payments as the HNWI have the stronger hand as it’s pre Clinical Trials and we don’t have the Finance. So who are we to dictate the Terms ? There must have been Agreement re the Framework and all parties happy to disclose before RNS released. But so long as Allan is Non Negotiable on those MINIMUM payments and the Contract Completes / then I’d be highly satisfied.

Finalising binding Agreement Timeline is 120 days which is just shy of 4 Month / Not 6. However if you include the 30 day non refundable $100k / then the whole package has a 5 Month Timeline.

The Date for our Diaries is NO LATER than THU 29th AUG for Exclusivity Period to run out / However Exclusivity Period could run out days before that as 29th AUG assumes $100k was paid right at the end of those initial 30 days.

Forgive me / but if the deal completes as per TUE 2nd April then the $100k $300k and $1m every 15th Month sort of covers our current cash burn ?? A bit left over but thereabouts ?

And yes AS has stated US quickest route to Market. I guess my frustration lay with fact that we are here in UK and don’t remove the barriers if indeed the product is Robust and will change lives.

To confirm my POV with NHS is that Neilin I believe was basically saying well inside 2 years for our Test to engage with NHS and that cos they up the creek re demand for Cancer Appointment waiting List / He stated 6.5 million backlog / Then basically saying NHS would be more than willing to take up our product. But that’s not happened has it ?

I guess what would help is if the Company could communicate what exactly has been done last 2 years and milestones achieved / and a Timeline goal re the next 12 months re where they hope Ciz will be.

Then we can judge them on that. SP 1.65p tells us this is what the Market is demanding.

Neilin P10 7.4.22 We are now 2 years on and No NHS Contract deal yet. Also / you cannot be happy that we are 1.7p when you’ve bought in the 4p and 3p bracket re comms that have contributed to this slide ? ie : Nothing is ever concrete - We haven’t even started Clinical Trials. China / No China. NHS No commentary. MOU is a MOU and I do not think it will complete and nor does the Market consider it concrete. Yes you have to go through the process and we find out in 120 days. Hope it completes but very sceptical as it’s major News and Market doesn’t entertain it at 1.7p.

I suspect the $100k as Neilin now alludes that we have already received / and probably have / could give rise to SP during the 120 days allowing higher exit price more than being able to cover itself for the HNWI.

AS alluded to fact that we cannot fund development to End game / so he has covered his back if failure occurs / starting with MOU.

It’s hard to Trust when Comms are PP and it seems on purpose. ie : Why not Notify SH that Negotiations are now Active ? I Do Not Trust MOU’s. Seen it all before.

However / On the flip side / Miller and Lang significant shareholders for a long time and participated to maintain their Shareholding %.

Lifestyle Company ? They all on low Salary and I thought about this the other week re AS. We are lucky to have him imo. Low Salary / Has developed relationships and every time we have raised cash / Company does seem to raise minimal. Things cost money and our costs super low.

C’mon Neilin. You would think that after a 40% drop in SP that the Company would confirm (Even by Directors Talk or LinkedIn ? or alike ) that the Company was in Active Negotiations re an Agreement with X. The $100k is the Trigger for that. So forget the $100k / Its the fact that that very $100k would automatically put us into a Price Sensitive period and therefore boost the SP.

It’s like a small Oil minnow getting the permit to Drill for Oil and all funding potentially in place.
