In essence the BOD would put up a spirited defence highlighting the long term value within the Company and recommend rejection of an outside bid. A Predator can go directly to Shareholders, and over the Head of the BOD, in offering either a Full cash offer or combination of cash and equity. Shareholders would then be given a deadline to accept or reject. Meanwhile the Predator would likely have mopped up available shares. Often a Predator will have engaged with major shareholders to establish a fair chance of success before progressing an hostile bid.

The OGA requirements as shown in the Matrix are subject to adjustment according to individual applicant’s proposals which can be revised (added too or detracted) at interview.
