Thanks. I think we are also getting close to the point where group members should supply you with proof of their holding. I am unsure how shareholders will ultimately provide proof that is acceptable in the first instance to the group and then if we do decide on any action to the company.

I think we need to remember why true shareholders have agreed for you to represent them.

I am happy for you to ask question in a professional manner and distribute the answers. Thats it no more no less. I am not happy with you speaking for the group on the BB or assuming you know the what I am considering as any “next step”.

I know that not one true shareholder that you are representing would like to see their investment value decrease due to any actions by the group.

I would suggest that as the current representative for a large share holding that you weight up carefully the contents of your post.

We will soon know the name of the purchaser.
If it is a legitimate oil and gas company like Neptune Energy, then all this talk of conspiracy will evaporate.
My guess is that we won’t see a tinpot company, they need access to large amounts of capital to even start this infrastructure.

There is a lot more to play out with Sound. Our largest shareholders are now in charge. They are massively aligned with the PI, they have booted out the BOD for a reason. I do not believe that reason is to see there investment go down in value.....

We have had our shareholder revolt, it happened last week. Let’s see what happens. I also can wait for many years for my investment to make returns. But as soon as it becomes clear that Sound shareholders will be getting regular returns, the SP will recover to represent a PE of approx 10-15.

Our previous strategy was high risk high reward.

We focused on large traps with high volume, which were risky.

We know we have several locations with gas, we may re enter them. Or we may go for the lower volume, less risky exploration.

The email exchange that I had post TE10 left me feeling the the TE10 well left us with more questions. It is a discovery and it did demonstrate the larger trap was in place, the design and placement in hindsight was part of the failure.

When we get the deal through, with some alterations. I think we are back on the exploration route.
But it want be such high risk structures. I would imagine SBK, a couple of other reentries. And do not discount going back to the TE10 location.

TE10 was aiming at 2 separate play types and was therefore sub optimal placement for both.

If we can get transparency on the JV and ditch the 5%, the. We may recovery sufficiently for some people to get into profit.

I wonder if the reason for the rift was that Marco and OGIF where planning on voting against the deal, seems far fetched.....?

I am happy to give the new management a fair crack of the whip.

It appears there has been a difference of opinion that has caused a rift between the cornerstone investors and the C suite team.

The last team in charge of Sound had approx 20 million shares, the new team has over 300 million shares. They will want those shares to be worth as much as possible as soon as possible. They will not be looking for another year wages or an opportunity to exercise options. They are aligned with the PI. If they run the SP into the ground they are ruining their own investment.

As far as I am aware they would need a majority of shareholders to vote for any such resolution. They would also have to be very clear that this was going to be a management buy out.
For them to get to that majority percentage then the SP would shoot up. or would involve turkeys voting for Christmas.
If OGIF .
As far as a takeover by OGIF on its own is concerned then this rule is important.
"When a person or group acquires interests in shares carrying 30% or more of the voting rights of a company, they must make a cash offer to all other shareholders at the highest price paid in the 12 months before the offer was announced (30% of the voting rights of a company is treated by the Code as the level at which effective control is obtained)."

My Take is that this has been a institutional investor coup. JP, JJ, SD and BM have been less than dynamic over the past 6 months. Morocco wants this gas out of the ground and appear now to be in a hurry.

Marco and OGIF have over a third of the company between them, they are therefore very aligned with the PI. Both Marco and OGIF have very deep pockets. They are bound by the same corporate regulations that JP and SD where.
Lets be frank the SP went down to just over 3p today and that demonstrates what the market thought of the agreement and JP stewardship.

If the Nomad did veto direct communication, how come we are having a FSC. I will be asking my questions.

If the share price goes down to 2p this affects Marco and OGIFS wealth far does than it does mine. And no wheeling and dealing is going to change that hard fact.

Morocco has had enough of sound delaying, they want to get the gas out of the Ground. OGIF our cornerstone investor looks like it has been pulling the strings. They are aligned with the PI, they have 270Million reasons to get a good deal.
