Polarised possibly Wolff, my point here was this board has suddenly woken up to the tax losses having some value, the precise point you and others dissed me for when I drew attention to what Investec were contemplating, creditors in GM screwed shareholders over something like 99.9999% and creditors were not made whole, here the same is true but the NOL Motion seems to have lost interest either they couldn’t find shareholders to put the deal together but also Mookys 20% was key to this which is off the table now

@JohnN, I researched this exact point a few months ago and posted at length only to be shot down by others on the points that the creditors can have all the assets but not the tax losses, they still have value to the shareholders

The way the judge would do this is declare a NOL (Net Operating Loss) motion, used commonly in bankcruptcy. Things seem to have gone quiet on this though recently, Investec were pushing it.

Google it, “NOL Motion”, previous companies in bankcruptcy such as General Motors and Hertz have used them. From memory though to have a successful NOL Motion you have to have at least 50% of pre bankcruptcy shareholders and some proportion of pre bankcruptcy shareholders agreeing to it, which may be off the table as CINE can’t find the beneficial owners of a large proportion of shareholders because most are now PIs operating through nominee companies

… so Mr Wolff, if you are so certain the judge is going to give it short shrift, how does he answer the question about the independence of the valuation (the respective advisors and debtors / creditors are all in each others pockets and the valuation is full of huge caveats)

On a comparator basis, even if we disagree about some of the inputs, shows a valuation is very much higher

The point again folks, Patience has opened up a whole Pandoras Box of what and how the down trodden retail shareholder - the little guys - have been bullied into submission by docket after docket, RNS after RNS, all while the greasy advisors, debtors, creditors and bankers are Chinging their glasss of rose wine after a job well done!

Bet Hexam is wetting his pants trying to quote something from an annual report or monthly management accounts.

… it’s a million % congratulations from me to patience, the lawyers are not going to find it easy to shoot that down in their normal docket way like they do to other dissenters who they try to bully into submission.

@wolff, there is a new docket yesterday requesting some kind of court confidentiality on the exit financing… big swinging dick lawyers making another $1m out of “make work for ourselves”

Hello Warren, I remember seeing it recently in possibly on of the long documents that preceded the Plan or Reorganisation and Disclosure Statement

But any even more blunt and stark statement can be seen from Page 41 of Docket 1509 (the formal reorg plan) where it states the (current) class of shares in Cineworld Plc will be extinguished and have no force.

You cannot get more 100% blunt and unequivocal than that which will happen the day after this document is approved by the Judge, so June 29th (a Friday) I would think when shares will be suspended and delisted.
