Alba will sell the Greenland assets to greenroc in exchange for shares in greenroc amounting to about half of greenroc. So alba shareholders will not be legal owners of greenroc, Alba will. In a sense alba shareholders will be indirectly beneficial owners. Whilst alba will vote on matters, you as an alba shareholder will not. There is nothing preventing you investing in greenroc after flotation. Prequalufications exist as to directly participating in greenroc as a retail investor. Alba will be subject to a lockin clause, so can't sell their shares until such lick in period is over with.
At present the progress made in Greenland, which is substantial has not been reflected in Alba's shareprice. This is the reason given by the board for the spin off. Perhaps some target investors have little interest in Alba's other projects, which will be mainly north Wales gold. In the medium term clogau st david's mine is likely to be the first to come into development.
