No GM Needed: PPP Can Issue GEM Shares on Aug 1st18 Jun 2025 08:24
If the GM resolution is voted down, it only delays the GEM share issue by 4 weeks. On August 1st, PPP will have enough headroom under the 20% rule to issue the full amount to GEM without needing shareholder approval.
Here’s the breakdown:
Total shares outstanding: 112,299,089 20% limit: 22,459,817
Shares issued in the last 12 months:
July 31, 2024: 6,000,000
August 14, 2024: 5,000,000
November 5, 2024: 1,000,000
Total issued: 12,000,000
Current headroom: 22,459,817 - 12,000,000 = 10,459,817
Shares needed for GEM:
Shares borrowed (per annual report): 48,726,195
Shares to be issued (per GM RNS): 62,633,333
Net required: 62,633,333 - 48,726,195 = 13,907,138
PPP is currently short by about 3.45 million shares.
But on August 1st, the 6 million shares issued on July 31, 2024, will drop out of the 12-month window. This increases headroom to 22,459,817 - 5,000,000 - 1,000,000 = 16,459,817
That’s more than enough to issue the 13.9 million shares to GEM, no GM resolution needed.
