Authority to allot shares and authority to allot shares on a non pre-emptive basis.

There are usually two fairly standard and linked resolutions on these matters. The first one typically allows up to a third of the existing share capital to be issued as new shares. This might be used for a variety of corporate purposes, and the really critical part is the second “pre-emption” resolution which restricts doing so except via a rights issue to existing shareholders. This ensures that you do not suffer from dilution without the opportunity to maintain your interest in the company by subscribing for the new shares being issued.

This is very important and for larger companies the new shares should be limited to no more than 5% of those existing. The percentage is often given in the notes on the resolutions, if not you should work it out. In smaller companies (e.g. AIM ones) you will find that almost anything goes but as a general rule you should vote against anything higher than 15%. If they want to issue more than that (e.g. via a “placing”), they should specifically ask for shareholder approval at the time it is needed and give some justification.

There are some cases where you may want to vote against both resolutions on the basis that you simply do not wish the company to issue more shares for any purposes whatsoever, thus inhibiting corporate deals or fund raising.

Seems to be a case of pulling up the online chat, say you want to vote, then tell them your vote for each point...

At the AGM they must answer your question but only if the 3 get outs don't cover all escapes,

JSE, seems to have a repeating low of about 69p, so creeping down, and still the fspo news to come..

Noticed a poster on 88e, talking about risk, his oiler with exploration drill and production, I assume Matd, worth a read to his thoughts... If they dont get access this year then there is next

Probably its that price as its got to be drill and tested, so still risks involved as in the resource not being as expected..
Probably also means UOG need the money

Should also be a reduction in relation to his role at EST as Non Exec Director...
Especially since it looks like that distraction is affecting his performance here, missing the finer details in contracts..

TRP, they announced years back their intention to drill, just seems to be a carrot to keep the company going..
Funding attempts been going on for a couple of years..
So just a pump, another...Did think of buying but thought maybe this time its going lower..
