It covers exactly why Scancell are looking to leave the AIM market, no finance capital !!

Once the move to the NasDaq is completed and we finally have raised enough funding for the iScib1+ Ph3 to include Adjuvant and NeoAdjuvant arms, the development of Modi1 towards Ph3 and also developing it into further solid cancer trials, SC134 ( with upgraded potency ) pushed towards a Ph1, iScib2+ pre-clinical, GlyMab Theraputics Ltd either populated or sold to GenMab plus AvidiMab progressed, we may well see the SP a magnitude higher.

We need to wait on the details but if this is merger goes well we will all thank the Scancell team for a solid tactical move.

I think it’s because the news is so left field and not anywhere in the direction most of us were thinking.

I do hope it sharpens the focus of any potential partnerships and brings about a bid or three 🤞

This Neuphoria news is a tricky one and does raise as many questions as such a deal would resolve.

We can reasonably assume that this potential coming together has been in the works for 4 or 5 months and it brings me back to when Sath was moved on.

As investors in Scancell we need an outline of how the two companies fit together and how the joint board would handle both futures.

We know this is about accessing US financial markets for Scancell’s development but is Neuphoria going to be future asset or a difficult relative.

My hope was that BMS would see and value the huge potential that an approved iScib1+ would give them for the next 10 / 15 years.

I will be happier when there is much more information and clarity of our BOD’s vision.

I think it is relevant because we will also acquire all of that company’s debts, tax liability and staff. Do we takeover and make everyone redundant and who’s footing the bill for that, what are the details in the Merck deal, would they want some of their investment back ?

If Neuphoria were working in a similar field you could understand there may be areas where each side could bring their expertise.

I think this only works if the details are correct and it’s not a cobbled together solution that misses some important pot holes.

I like a well thought out plan of action not a forced upon solution.

A very interesting company but I have no idea if their science overlaps in any way with Scancell’s science.

What happens to all their research and their staff going forward ?

This reverse merger or takeover must have been conceived many months ago. When Sath left the company ( and if you remember it was within a month of the announcement ) I thought it was a very hasty decision.

Obviously it was a very carefully planned decision, more than likely perceived by the Redmile Group and agreed upon with the Scancell board.

Rather than presume none of the interested parties have not put forward some decent numbers I think we need to consider the fact that Redmile / Vulpes / the BOD have decided to build a Unicorn Biotech Company based on all of Lindy’s immunological knowledge and patented technology.

Scancell’s 60 staff is predominantly PHD and Post Doc qualified and gifted scientists.

Many times it’s been stated on this chat board that Scancell has a potential pipeline bigger than some Bio-Pharma companies.

The quicker this Nasdaq conversion happens the faster the iScib1+ Ph3 can be started and Modi1 can move forward towards a Ph3.

Today’s announcement, although forced, is a very big deal.

I’m amazed that BMS are prepared to walk away from a partnership. They could easily put between £400m and £600m into the company and negotiate a royalty level once iSCIB1+ goes commercial.

We don’t know all the details but it really feels like Redmile want that NasDaq listing.

They must believe that this route equals a much higher return on their investment.

Let’s see what Monday brings but at least we’ve crossed the Rubicon at last.

I think between the team at Redmile, the team at Vulpes and our own experienced BOD they will know if Neuphoria have any practical worth.

All we can do is wait and see if this is a storm in a tea cup or a real possibility.

The share price is being systematically reduced by consistent sells might even be being shorted. This new input by unknown SCLP posters adds to my belief that this is deliberate manipulation.

Scancell must be in deep and intense conversations, there may be a lot of back and forth between potential suitors.

We’ve discussed before that Scancell covers a lot of bases with their four potential platforms, Immunobody, ModiTope, GlyMabs and AvidiMab. This may have caused many ‘what if’ scenarios and will mean our BOD having to weigh all of the pros and cons, to determine what works for all parties and hopefully us private investors who have helped develop this business for 15 / 20 years. There will be people on the periphery that will know if things are close or not. The information being ‘shared’ with us today may be completely bogus.

Our CEO arrived saying that he try not make promises he cannot keep, well with the Modi1 clinical update he has already pushed it back twice. Let’s hope this very important update is released next week.

Looks very much like a concerted effort to push the share price lower. The sizing of the trades look commercial ( ie: trader type ).

The timing will be combined with posters who start to question funding which they know evokes fear and worry.

My thoughts are that we are extremely close to a Modi1 update due to the Trial Designated readout estimated as 1st July 2026 and we are virtually at the six month mark with the MHRA Approval to run the Ph3 in the UK.

My personal opinion and we’ll have to watch and see if I’m correct. 👊👊

An important technical point about the Modi1 data release :

Scancell have to wait for the data to be collated and signed off by the clinical trial staff at each clinical site. Scancell do not have a centralised hub where everything is loaded to a dedicated data package.

So in knowing this fact we should give the company some leeway and I assume that’s why when promising future dates it’s always couched in ‘anticipation’.

The trial design expects a read out 1st July 2026 and hopefully all the clinicians will be aware and working to achieve that time point with full data.

Everyone should take a deep breath as each day passes we are getting ever closer to some very important trial and financial news.

Let’s just put things into perspective, the UK’s MHRA when issuing an approval is both slow and deliberately cautious. I would imagine even more so when it’s a Phase3 involving 400 patients.

Currently many items are due or well overdue :

GenMab Update : Overdue

Glycan Therapeutics Update : Overdue

MHRA Approval for Ph3 : Due at anytime

iScib1+ further PFS data scheduled

Modi1 Clinical Update : June 2026 - due

Funding to begin the Ph3 Trial and run the company for the next year or two : Overdue

Information about the ongoing discussions with several potential partners / investors : Due at some point soon.

Conclusion : Scancell are not in a legal position to enlighten the market on any of the above. The complete silence means discussions are ongoing and they must be very serious discussions because we know that financially we can only squeeze out until Q3/26.

Already filtered, as a name very similar tried the same a few days ago and were summarily banned.

So next week we are hoping that a very positive ModiFY update arrives as anticipated by our CEO.

My initial investment in Scancell was due to the ModiTope pathway discovery and I’m so keen to find out if Modi1 added to CPI’s has had the same impact on PFS in Renal Cancer as seen with SCIB1 in Melanoma.

From January’s Interim presentation we were told that the ModiFY trial enrolment was almost complete and I’m hoping that means that it should be in a position to Read-Out as a complete data set covering at least one scan for the very last patient’s.

I would expect that our CEO and our founder Lindy Durrant would be extremely keen to share this data as it’s been put back a few times, with the last ClinicalTrials.Gov website update was back in September 2025.

The last meaningful clinical update of any substance was in January 2025.
