(Alliance News) - Remote Monitored Systems on Wednesday said it is seeking legal advice over a breach by 18% shareholder Gareth Cave as Cave announced intentions to requisition a general meeting to replace the board.

In August, Braveheart Investment Group PLC sold its 52% stake in Pharm 2 Farm Ltd to Remote Monitored. As part of the transaction, Remote Monitored Systems issued 289.6 million shares to P2F Founder Gareth Cave.

P2F uses a patented process for producing and functionalising nanoparticles for various applications including human, animal and crop health.

On Monday, Cave announced his intention to vote against issue of warrants to participants of Remote Monitored's December placing which raised GBP5 million, as he announced plans to lodge a requisition for a general meeting to "consider board changes to improve corporate governance".

On Wednesday, the company noted concerns by shareholders regarding the scale of the placing as well as concerns about potential dilution which may result from the future exercise of the warrants being issued to placees. In response, it said it will engage with placees in order to seek to restructure the warrants with the intention of reducing the potential dilution to existing shareholders.

Remote Monitored also stated it believes comments made by Cave on social media were in breach of the relationship agreement entered into at the time of the company's acquisition of Pharm 2 Farm.

"The company is taking legal advice in respect of these matters and intends to respond very robustly, including pursuing those publishing defamatory information about the RMS board and notifying the police where appropriate," it added.

In response, Cave said RMS made no formal announcement prior to admission of the placing shares that there was growing shareholder opposition to the issue of warrants, adding the company has also made unfounded allegations about him which he refutes and is taking legal advice over.

He added he will requisition a general meeting to remove the existing directors and to appoint a new board with "proper independent board oversight."

"I am disappointed that despite constructive discussions with RMS's advisers yesterday, the board of RMS has chosen to ride roughshod over shareholders' concerns. I believe that these would now be best satisfied by the cancellation of the warrants in their current form and comprehensive board changes which will allow myself and the Pharm 2 Farm team to concentrate on the many commercial opportunities presenting themselves," Cave said.

Shares in Remote Monitored were trading 6.0% lower at 1.22 pence each on Wednesday afternoon in London.

OK this is what I think PI don't want to understand or accept the share price has been dropping and all the heat has been building up with the BOD since 15th Dec 20 when we have had the certification update and the 5 ply mask which was the golden ticket that has the antiviral layer has FAILED, without them passing this is game over and is no different then the penny masks that are all ready flooded and continue to flood the world.

The share price was should of always been under 1p and this was overly hyped by hell bent rampers to which the BOD took clear advantage of, and BOD know this was going to be the outcome they are smarter and skilled and always ahead of the game, the PI are the dummy's sorry if this sounds bad but it is what it is. And now as the reality kicks in the same hell bent rampers are now locked in and kicking themselves and playing the blame game and reporting anyone who was a bit switched on and could see the wood from the trees

The only thing you will have in a few weeks is to show off is a very expensive Lemu mask making machine with 1 cert passed and 2 failed and cannot breath in the masks.... Certification of new viricidal mask

The Company has received a preliminary update in relation to the certification of P2F's new viricidal mask.

Three batches of prototype masks were produced """"with all three required to be certified to standard EN14683.""""
The initial test is a preliminary breathability test.

One mask (a four ply mask with the anti-viral layer) passed this breathability test, and """2 masks failed (five ply masks with the antiviral layer)""" and require modification.

The delivery delay of the Lemu mask making machine to Nottingham is now a blessing as only some of the pre orders can be manufactured now once the machine has been commission and is operational, the rest of the orders can only be manufactured when the certification has been passed and " if passed now". until then this is defo pis in the wind stock and now I am expecting this to be 1p very soon.....

As always in most AIM stocks you should never get carried away, feel sorry for so many who have been locked in now

Well over the past few months the share price has been falling can we please have the facts on why the share price has been falling now thanks you. other than the following
How many masks samples have failed certification
How many Millions of ££££ worth of share did the BOD sell
How many vaccines have been approved and in how many parts of the world
How many different types of masks are all ready out for pennies or for free now
Is this going to be the only product on the market "clearly not" the Chinese will flood the world in days and the world will buy them trust me.
How long for the delays in production is it Jan 21 or Feb 21 or March 21

It's ok to ramp the hell out of a share is it, to lock in investor for your own gain it does not work like that we have two sides to a coin ....

I have been in and out of this share many times I understand what is going on, I don't have my blinkers on as some do
I never single out anyone for good or bad remarks I just trade the facts.

But I know for sure so many have bought into the fake hype of " many paid rampers on here and other portals" and I do feel sorry for them as they have been locked in and missed out on all the vaccine recovery shares and are now siting ducks hoping that no more delays or bad news comes out by Jan 21. Looking at every buy and sell as if that makes a difference every day " Day in Day Out" ... Work it out I am not the one with a sad life if you believe so much in RMS then why not just buy the shares and carry on with your buzzy life why watch it every second of the day.... I for one only have a look in after a few days and I see the same rampers on here every time
