Fully agree…this transaction is all smoke and mirrors….none of those even mentioned has a website…scary sh**….I actually wonder what due diligence was done or even if these companies exist !
If anyone has any public knowledge of the companies mentioned below please share the link.
“ Kibo Energy PLC (AIM: KIBO; AltX: KBO), the renewable energy focused development company, announces that pursuant to its strategic re-positioning as a renewable and clean energy company, the Company has signed a Share Purchase Agreement ("SPA") to acquire the Victoria Falls Solar Park project in Zimbabwe (the "Project") from Broomfield International Limited ("Broomfield").

Kibo will acquire 100% of the issued share capital of Brownhill International Limited ("Brownhill") and shareholder loan claims against Brownhill (the "Transaction") which holds the Project through its wholly owned subsidiary Power Ventures (Private) Limited. ”

Lols….starting to think this green energy drive equals vapourware…..anyways Let’s wait and see if they go live in April with 5MW and receive and income from it….as this will be the decider for me whether to invest any further in this company…also gives us time until the end of May when trading will resume….so a lot hinges off this April production date of 5MW.

And Broomfield International Limited ain’t got a website either…..fwiw.

And I find it hard to believe we paid 10 million quid for Brownhill International Limited and I cannot even find their website !!!! I mean….isn’t this strange ?

Thanks Jax…I agree….something stinks with this transaction….if it smells like **** it must be.

So to put things into perspective….at JSE prices today.
100 shares is the equivalent of R6.00 as they 6c each.
.005 p is worth ZAR about 10c
So come the end of May my 10 Shares will be worth R1.00
So will be at a R5.00 loss for every 100 shares.

So the value goes up 5 times but you lose 10 times your share base !!

Spot on isthisawinner….however you will only have 10% of your current slotted shares as the other 90% went to consolidation.

And looking closely at the deal struck for this acquisition of Brownhill….
It cost us GBP 10,000,000, payable in new ordinary shares of Kibo at an issue price of 5p per share….that’s an additional 200 000 000 shares post consolidation.
Current issued shares is 2,983,079,411 so divide that by 10 to get to consolidated number of shares issued…and you will find post consolidation there will be very close to 500 000 000 shares issued.
So not only have we been diluted ….this acquisition of Brownhill has cost us 40% of the companies value !
Enough said.

Don’t confuse what they are paying for the acquisition ie 5 p per share with consolidation….
10 to 1 @ .5…..the fact that they are paying 5p per share for the acquisition has absolutely nothing to do with the consolidation. I doubt very much that it will open at 5p after suspension is lifted ….it will be closer to .5p imo. Time will tell GL.

So you will only hold 10% of your current number of shares come the end of May….I trust you understand what this consolidation means.

Easy…read the fine print in the RNS….” following an intended 1 for 10 share consolidation as part of the Transaction (equivalent to 0.5p pre consolidation).”
IMO…the consolidation has been fuzzed up and two RNS’s should have been published.
One for the consolidation and one for the acquisition.

Chadster….your investment will be worth about a third of the value you have today come the end of May….but hey if you think it’s not a bloodbath…no sweat.

As an example…..If you have 100 shares today at a value of 0.16 these shares would be worth 16 pence…..come end May you will have 10 shares worth .5 p each which makes it 5 pence.
That makes it a bloodbath me thinks…..fwiw. Or have I possibly missed something ?

Hi Sheds….this was in the last RNS……
Metallurgical work continues, with ore sorting testwork having been completed in Germany and samples returned to Wardell Armstrong International Ltd in Cornwall for the continuation of the programme. The programme has been designed to further develop the ore sorting process route through the utilisation of the bulk sample, along with increasing the spacial representivity within the current defined indicated resource via the testing of two deeper samples to provide further information on the processing characteristics of the ore.

Come to think of it…..only the latest Mets which we are still awaiting from WA ….will determine the exact resource ito inferred/indicated/measured….so maybe Myles is waiting on this as well….before advising Lundin ….something else to ponder about:-)

Hi Sheds….I agree that by then we had more than 1 million tons indicated however I once checked the drilling meter age and it as only during EUZs tenure that the 5000 metres was surpassed…..so EUZ had 10 days from when they passed 5000 to advise Lundin…if they did advise Lundin at the time or not….I don’t know….or whether they have in fact purposely held back and not advised them….as yet :-)…

Sheds I am of the opinion that as it was a one time buy back in right that it has now expired…if I read the below correctly as all the milestones have been met that were associated with this buy back in once off right which were the Jorc effectively and more than 5000 metres of drilling which we have accomplished….hope this helps.GLA.
“Lundin will retain a 1.5% royalty on the Net Smelter Return (NSR) from the Toral Project. Lundin also retains a one-time back-in right to reacquire a fifty-one (51%) percent interest in the Toral Project once GoldQuest provides written notice to Lundin within 10 days of the following events occurring: delineation of an inferred resource on the Toral Project of greater than 1 Million tonnes of lead and zinc (contained), as demonstrated in a NI 43-101 compliant report, and completion of not less than 5,000 meters of drilling.”

Well I hope you right Money…if that is the case then we need to cut a few corners again…..and hopefully get it right this time around with the approval obviously from both local and Spanish Gov. Maybe and just maybe a PFS will be sufficient in our case in order to start developing the mine. The guarantees worry me however as monies will have to be put up based purely on a PFS. As Chris has said…this is possible as it has happened before with JVs being set up etc in other companies…but we may have to give away more than we bargained for….time is short though…let’s see. GL.
