Minimum Issue Price

The issue price of Equity Securities issued under Listing Rule 7.1A must be not less
than 75 of the volume weighted average price VWAP of Equity Securities in the
same class calculated over the 15 Trading Days on which trades in that class were
recorded immediately before

Formula for calculating 10 Placement Facility

Listing Rule 7.1A.2 provides that eligible entities which have obtained shareholder
approval at an annual general meeting may issue or agree to issue during the 12
month period after the annual general meeting a number of Equity Securities
calculated in accordance with the following formula

A is number of shares on issue 12 months before the date of issue or agreement

a plus the number of fully paid shares issued in the 12 months under an
exception in Listing Rule 7.2;
b plus the number of partly paid shares that became fully paid in the 12
months;

c plus the number of fully paid shares issued in the 12 months with
approval of holders of shares under Listing Rule 7.1 and 7.4. This does
not include an issue of fully paid shares under the entitys 15
placement capacity without shareholder approval;

d less the number of fully paid shares cancelled in the 12 months.

Note that A has the same meaning in Listing Rule 7.1 when calculating an
entitys 15 placement capacity.

E is the number of Equity Securities issued or agreed to be issued under Listing
Rule 7.1A.2 in the 12 months before the date of issue or agreement to issue
that are not issued with the approval of shareholders under Listing Rule 7.1 or
7.4.

The ability of an entity to issue Equity Securities under Listing Rule 7.1A is in addition to
the entitys 15 placement capacity under Listing Rule 7.1.

At the date of this Notice the Company has on issue 5574576317 Shares and
therefore has a capacity to issue

i subject to Shareholder approval being sought under Resolution 5 836186447
Equity Securities under Listing Rule 7.1; and
ii subject to Shareholder approval being sought under Resolution 6 557457631
Equity Securities under Listing Rule 7.1A.

The actual number of Equity Securities that the Company will have capacity to issue
under Listing Rule 7.1A will be calculated at the date of issue of the Equity Securities in
accordance with the formula prescribed in Listing Rule 7.1A.2.

"By Xmas"....then we have no money left.....does'nt make sense at all unless they want to announce it with the next funding phase.....this is starting to be more than a SS as you have all gathered....and from a strategic perspective and with share holders always in mind...I think its a very bad decision on managements part....

Yep..I somehow agree Marina however African Pioneer is one of the larger shareholders in EUZ and one of the companies brought in by CB with the previous fund raising exercise if I remember correctly....they are also listed on JSE...so whilst it may be irrelevant to the SP in London or Sydney....there are still a large number of share holders in SA and the SP is definitely relevant to them :-)

EUZ twice as expensive on JSE....04c = 0.00217274...definitely something happening....:-)

Many of you feel the SS is being produced as a "for sale" advert or possible JV....
Here's my take and possible two cents worth :-)

The SS is already well defined imo to such an extent that it has knocked the socks off the EUZ management team.
I believe the ONLY reason why it is not published as yet is they are looking at self funding business models.
Why sell something at a discounted price when one can get a sustainable annual return ?
Think about it logically...The SS will always be "work in progress"....It will be added to as the Toral footprint grows.
My opinion only....

No Remuneration Policy exists that I know of. However in the Quarterly cashflow report there is a blanket statement ....Section 6.Payments to directors of the entity and their associates
Directors Fees $75,000, Company Secretarial and Accounting $21,000

All resolutions passed.....one thing I noticed though with CB's appointment the voters abstaining were greater than those for...very different balance than all the others... :-)

As with any major development....the business case needs to be compelling enough in order to attract investors.
IMO the business case to open a mine WILL prevail and this will reflect in the SS....
There are many mining houses looking for the right opportunities to grow. I have no doubt Toral is on their radar and they are awaiting to pounce at the right time. And they will pounce....that's the sling shot !!

Very interesting news all around....Only Turner Pope and all rights relinguished to Lago.
This in my opinion bodes well for EUZ as they can focus 100% on Toral and imo the mine is immenent and will definitely happen.
