You might remember when you were giving management all the accolades under the sun I suggested just tapering your praise. It's rarely sensible to be deep in one court and then the other at the drop of a hat.

You're fine to not accept what I've said but just look around you. Look at other schemes and you'll note that the target companies often do the same. They have much to say until the recommendation and then the release of MNPI tapers off as the scheme document becomes the point of reference.

It might not be within the spirit of the rules but it's what happens in practice. It's very difficult for regulators to prove that the company is withholding inside information.

There was never going to be news updates once the company went under a friendly offer because the proposal had been recommended to investors based on what was available in the market at that point in time.

News developments during the offer period would prejudice the scheme.

I think a 75/25 split for funds FOR isn't unreasonable. In terms of retail, you could assume 75/25 AGAINST on the basis that anyone in favour sold up and the 25 are likely abstainers or those who forgot to vote.

RBC and Canaccord are different firms engaged to provide different services. The former acted as M&A adviser and the latter to provide promotional coverage, i.e. to force what you already knee onto the market.

Canaccord's coverage wouldn't have got on a desk in RBCs office because it wasn't relevant.

Canaccord's coverage was simply to bridge the gap between where the SP was 12 months ago and where management needed it to execute Scott's dream deal.

That's a question you should be asking here. Why was Scott's deal at suppressed prices used as the benchmark when shareholders had rallied against it, given the more recent emergence of TAM and basket prices?

I'm just trying to offer some realism. People like IP should be very very very ashamed of their conduct here and elsewhere over the last few years. None of his theories have been proven, his ramps have all fell well short of reality and his general conduct towards individuals has been reprehensible.

If you think he is proven correct, then I feel you're losing sight of reality, and that's a shame.

At the end of the day, BHPs articles or equivalent will set out what they are required to put towards shareholder vote and what management have control over. Selling their SOLG stake will be in the latter category. Why? Because otherwise we'd have all seen BHPs literature and due process carried out in the public eye.
