E& are in it for the strategic play not the day to day whims of the stock market. Really dont know what you expect, they aren't in it for the day to day operational side or even the medium term, they are in it for what the company will look like in 3 to 5 years, and those time of strategic moves don't just happen overnight, if they do then its probably at the detriment of VOD, eg selling off assets cheap, buying overpriced etc.

Whereas you question why they are in it, when they can see the strategic value, yet you see no value and are supposedly holding here, so why?

TBF its hard not to be down on the share, holding or not. This is painful at times, just when you think we are at the bottom and might see a steady recovery, instead it just drops again

What ratio you using to convert US SP to UK beyond the exchange rate, as the listed shares are different.

US was 9.26 when we closed, it then dropped to 9.18 when jax posted. It since recovered to 9.23 so slightly down in our after hours but it was down nearly 1% at one point

It's the movement between 11.30 and now that you need to look at. As before 11.30 was already embedded in our SP close

Blackrock sold approx 1% of the share's in issue, dropping from 4% to 3%

Not going to lie, the reaction in the SP is more than disappointing.

So VOD will load £4.3b of debt onto MergeCo and will only 51% of the £6b debt, so basically reduced debt by £1.2b. On the flip side before synergies we are losing £250m EBITDAaL for that £1.2b. But with annualised savings £700m x 51% = £357m that more than makes up for the EBITDAaL loss, whilst opportunity for further Revenue and cost synergies (eg if we both get a 1% discount on procurement, MergeCo should be able to squeeze that a bit more on more volume etc). The synergies they talk about will mostly be duplicated functions etc. Just seems a small piece of the puzzle at the moment

Its gone from 3% up to 1.5% up within 20 minutes of them talking.

So Call and put options in place and we shift about 72% of the debt vs owning 51% on NewCo. so shifting 21% of debt.

Where does it say £11b more. it only says £11b investment, they would alead have to invest so the te £11b isn't incremental. In fact they are saying the combined MergeCo will actually spend £700m less (CapEx & OpEx) per year less than they would as standalone entities

This news alone doesn't move the SP to 100. Even if it was agreed by the CMA already, it still only adds incremental EPS to nearly 100p, so the SP should factor in a % risk that it still doesn't happen,

BUT market sentiment is holding this back, so hopefully this turns that sentiment as that's where the short term opportunity on the SP is.

Alternatively the EPS increases by 2.11p x PE Ratio of 10 = 21p or a 28% increase. So just merging the 2 companies and achieving the synergies mentioned moves us between 18% to 28% roughly. That's before incremental value gained by then being the No1 operator in the UK. EG larger market share, more opportunity to grow the top line
