LLOYDS BANKING GROUP COMMENCES SHARE BUYBACK PROGRAMME

Lloyds Banking Group plc (the "Company") is today launching a share buyback programme to repurchase up to £1.75 billion of ordinary shares. The Company previously announced its intention to commence the programme on 29 January 2026.

The Company has entered into an agreement with Goldman Sachs International (the "Broker") to conduct the share buyback programme on its behalf and to make trading decisions under the programme independently of the Company. Under the terms of the programme, the maximum consideration is £1.75 billion. The programme will commence on 30 January 2026 and will end no later than 31 December 2026. The sole purpose of the programme is to reduce the ordinary share capital of the Company.

The Broker will purchase the Company's ordinary shares as principal and sell them on to the Company in accordance with the terms of their engagement. The Company intends to cancel the shares it purchases through the programme.

Any purchases of ordinary shares by the Company in relation to this announcement will be made in accordance with certain pre-set parameters set out in the terms of the Broker's engagement, the general authority of the Company to repurchase shares granted by shareholders at the Company's annual general meeting held on 15 May 2025 (which permits the Company to purchase no more than 6,059,214,381 of the Company's ordinary shares), the EU Market Abuse Regulation (596/2014), the Commission Delegated Regulation (2016/1052), in each case as such legislation forms part of assimilated law (as defined in the EU (Withdrawal) Act 2018), and Chapter 9 of the Financial Conduct Authority's UK Listing Rules. The buyback is subject to the continuing approval of the Prudential Regulatory Authority.

For the avoidance of doubt, no repurchases will be made in the United States or in respect of the Company's American Depositary Receipts.

Slightly disappointed. Was hoping we were going to get a monster buyback around 2.7Billion. Maybe the extra 800 million set aside for the car finance lowered our buyback pot this year??

But 1.7B seems ok. Lol. around 230 trading days left this year. And so it begins again.

@ an average £1 a share, 1.7B shares to be bought.... we can buy 7.4 million shares daily for 230 days. Off top of me head last year, we averaged 10.9 million shares daily bought back for the 202 days the funds lasted. Looking forward to seeing when this starts.

This recent rise,,, has the next buyback started yet? ;-)

what do we reckon 2.8billion buyback... starting next week??? , purchasing about 14million shares a day for the next 210 days? it's only going one way aint it??

It means very little to me LTI... you're right, I was just interested to try to understand what was going on also. I actually thought first of all... Lloyds were the one's lending the money out to someone. Can I ask.... Who would lend Llooyds 500 mil and why would lloyds need to borrow 500 mil?

So lloyds took out a 500 million loan LTI and had the option to pay it back early as there were possible better/cheaper options now out there? so it was a good thing for lloyds? to save some interest??

What are we expecting on the on the 29th Jan this year? was there a similar announcement this early last year? got in me head 18th feb for some buyback announcement with it starting shortly after, do we think it might come / start earlier this year?

read somewhere we might get £2.7B / £ 2.8B for the next 2 buyback pots but that was prior to the +800M extra car provision. what do you think?

Last question, the 15% progressive and sustainable dividend.... realistictly... how long does anyone expect this to last for? 3 years more, 5 years more, 10 years... the dividend projections look very tasty if that was to happen. Do lloyds ever come out and say, we want to get the total number of shares down to 40B by????? from the highs of 72-ish just a few years ago?

Hey Chips...

This is the last Middle of the month call of 2025 before the final last minute call next week. Myself, Yourself and Darth are now almost standing in the light again. Bought myself some Todd's lemon flavoured energaid.... I know where the sugar is!! Darth.

Did we find a few extra 100 million down the back of the sofa for the buy back machine to carry on? Share Price was suppost to be going the other way now?? Maybe you sold all your gold Chips and are topping up on the Lloyds SP.

Lloyds are still cheap as chips. Might make a final attempt to touch £1 this year... who'd have thought that this time last year?

2.2Billion shares bought back this year, just under 59B now.... hopefully 68 days... until we get the next buyback starting all over again (thanks Hardup for the daly updates). Blocked a few posters, but Learnt a lot this year, thanks to a small few on here... whoever sent me the link with the projected future dividends and possible buy back amounts..cheers.

We need an new SP recommendation update CHIPS.

then 77 days / 55 trading days before possible start date of next buy back. Some analysts think we might get 2.8 Billion or 3Billion for the next buyback. Seem some larger figures branded about in the 5 or 6B range.

How do Lloyds come up with what they will spend on buybacks / dividends each year?
