Morning all,
My voting rights have just landed on the ordinary and special resolutions. I couldn't make the presentation yesterday and can't find a link to any recording on their website. Is there anybody here who can point me to a recording/summary or who could advise what their excuse was for the special resolution?
I remain conflicted as to why the rush to pass this special resolution and be able to issue shares on a non-preemptive basis if they are saying they don't intend to....and indeed are about to make a wad of cash. Was any comment made on this need?

We have seen the SP triple this year without a brass farthing being received yet - the news of a streaming deal was already baked in, and the RNS met expectations rather than exceeding them clearly.
I agree that once the proof is there - revenues received, stream done and with a good level of subscription, no more dilution etc. then this will start to rise again.
This is a long term bloomer, not for "20p this week" cheerleaders.

Hopefully the website will be publishing the price of a stream soon so we can start to play around some numbers?

Now it's all about the number of subscriptions and the costs.....

That’s the key here… DC does have history of placing to chase the next shiny thing, startart, an in-house video production team? Lvcg needs to make a profit and reinvest that unless a placing is a superior financial option, which is rare as they almost always come at a discount.
Placing does impact on dilution and future SP target calcs too. Last year they did use every ounce of headroom, so we are entitled to tread carefully.

Your post focussed on the need to exercise warrants, this is covered by resolution 3.
Why the short term need for a GM including option 2 if there’s no plan to place?

I read the GM agenda - it's TWO resolutions to issue shares PLUS the resolution to cover warrants. The two Martyn's seem to have overlooked that and you're using them to back your stupidity.
I can't help being able to read, I learnt very early - you should try it.
I'm trying to keep it real.
The ordinary motion gives them the right to issue 25% equity as BAU. The second is a special resolution to issue an additional 12.5% as they see fit (non-preemptive). The third is to cover warrants.....
I remain overall positive but this is a setback if used to the full extent - I will be voting against resolution 2 if I don't see a damn good reason for it soon.

That's what I hold out for Knigel - that the news coming up on streaming will mitigate the next placing - but what that does mean is that whatever SP target we all had in our heads needs recalibrating downwards.
If you thought you were worth a share of £7M profit yesterday, it will be only 100/137 of that tomorrow, unless you put more cash in the kitty or DC can turn a placing into even more profit and he finally distributes it...
I still want answers - why place at all if we are profitable and cash flow should be coming in by 14th of this Month? Let's see what tomorrow brings.

Hi Knigel - the last presentation I went to the audience were on listening mode only - questions had to be submitted beforehand and mine wasn't answered - if you recall from Feb I asked for reassurances they WOULDN'T place again.
They subsequently did.

The GM agenda explains they've all but run out of options from the last lot they asked for - which shows they DO issue shares if they have the chance.
Secondly, why raise a special motion to issue more than the initial allowance in the next 15 months if they don't plan to.....
I'm very happy with the possibilities that LVCG has in front of it, but on the basis I receive my calculable share - if they issue 37.5% more equity in the next 12 months that waters us all down. What's the point in LVCG making a profit if we never see it as PI's.
DC and his team need to bring this company to maturity - profit making and profit sharing maturity.

I repeat - I hope that there's a ripper of an RNS before the GM which covers all this off. That suits us all.
In the mean time I will not bury my head in the sand and follow your Whatsapp teasers like a zombie. Every PI should be armed with all the detail and be able to make an informed choice.

I would encourage anybody who hasn't already done so to check the company website to read the GM agenda. More placing requests, which disappoints me in the extreme. I thought there was cash rolling all over the books now? I thought we were making hay?
May take even longer to unwind more cheap offerings before we get this "golden egg" of KPOP to maturity.

If I'm wrong and the GM comes on the back of a ripper of a RNS tomorrow then it may not have the impact I fear and there's enough for us all to be winners. Time will tell.

We do know that the twitter dude sold out on Friday - taking his acolytes with him. He admitted he knew nothing about the value, just saw a line on a chart.
That's why we went up so quickly last week on no news.
That's also why I don't like it when the traders start pratting about with my mong term investments.

We have finally got to the stage of an operational RNS update - good to see the directors communicating with the investor base and not just on twitter. I wonder what the next step is though?

I'll be there for the long haul too - very happy if we can weed out the quick buck "in and outers" at this level.
I do still think there will be volatility next week too, so it's all about patience unless you have the gift to trade this right, which ain't my bag at all!

I would hope they could wait till news, otherwise it gives off the wrong message I think?
But, eventually yes all those who have shares either in lieu of salary or discounted on a warrant will take some profit.
