FACT - 228m warrants at .1125 [19th Oct CLN)

Leaves about 1.1bn headroom.

I'm not convinced DRC is as close as seems.

I'm on record as saying 800m at 0.06375 same as CLN conversion = 510k.

No doubt with warrants at preferable terms.

It's DRC next week or death by dilution.

This really is last chance saloon.

I said this won't ever see 0.2p again. No DRC in March and even with DRC its got no chance.

Last year they issued on same day as meeting. But 25% voted against more shares and 20% against NED reappointment. It was 500m shares then.

That would put the cat amongst the pigeons.

Feb 24 will see 1billion shares issued. 250m for 19th October CLN. The rest to replenish the coffers and pay salaried.

I think up to 70% of cash burn is admin not exploration so its an imperative.

All research is evidence and valid, but the likelehood of it coming true is deemed risk.

Based on a form book of nothing zero nil being delivered over 19 years and RRR having zero cash and a woeful balance sheet there is in my opinion a major risk this company won't exist in a years time.

That's not to say the assets are not worth anything they could be worth a lot and probably are .

It means the fund raising gravy train has ended. This could be delisted, taken private liquidated in a flash. The question is then what happens next.

That's why I pay great attention to charges and securities changes in registered address for loan bearing subsidiarys. Its very telling that the company has interacted twice on this Board observations [ correcting paperwork on security satisfaction and moving back registered address from private to businees really strange ].

To me that indicates IMO a high degree of actual risk and some unusual governance.

A note to the Nomad suggesting on behalf of SH assurance on charges being kept up to date forr not just RRR PLC but all subsidiaries will I think be wise for investors.

Who holds any charge security indicates far more to the Investor than the dreamers Reach RNS.

Might get AGM result and Article 4 approval before close.

Bets that's on a proper RNS rather than the Santa's wish list "Reach" RNS.

To date Lenigas our consultant seems to have just introduced Mr Bell to the "opportunities" of Reach.

RRR Plc arranges loans through its subsidiary RRR Coal Company Number 11857467.

On 8th Dec 23 unexplicably it was moved to 2 Wanden Road SW6 2JF.

A poster on here you know as Banbury Boy commented how unusual that governance was on this Board.

They clearly took notice as they moved the registered address back to Sailsbury Place.

I wonder whose address 2 Wanden is ? In terms of corporate governance very iffy !! They clearly thought better of it. Bless

Maiit Google RRR Coal company's house address prior to 5th February 2024. Note the house number and road name. Look at the last sale literature re estate agents rightmost etc and at the opulence of the place. Whoever lives there has made a pretty penny over 20 years and probably a lot more than the 120k a year on offer here. DYOR and IMO only.

To be fair Helpful Dick has called it right for years.

These boards do have an impact.

Posters will remember my posting about why the registered address of RRR Coal moved in December 24 from the parent company to a private address in Fulham. Incredibly unusual and odd as RRR Coal is the vehicle via which the holding company raises loans. So using a private address looks fishy.

I am pleased to report that on 5th February its reverted back to the same address as the PLC.

Clearly whoever made the change realised quite how bad it looked :)

So we arrive at the anointed meeting and past lunch another 1.5bn shares. And no DRC cash.

We said it would happen. In hindsight it was inevitable. I and others get threatened abused told to legal up. For what presenting it as it is ?

I had a quick look at Companies House in 19 years RRR has increased in share capital 136 times ! So roughly 7 a year. Zumore will confirm over 100bn shares adjusting for the consolidation in 136 raises !!! A world record . Dividends paid in that time Nil.

Fascinating to see the rampers are pivoting away from DRC, Lithium Elephant BF and Ivory Coast.

Never mind that the futures bright with Australia and the New oil venture in central America.

The corporate governance is woeful. The charge [ priority of assets on winding up ] with Prime Resouces Limited has been satisfied. Mr Bell came on this Board himself to tell me, but said the paperwork was not filed, Helpful was within a day of filing informing us.

Definitely probable the company has a new charge ( Helpful said he and his mates rried to buy it !!! yes the governance on that is astonishing)

Never mind Shareholders having to lawyer up can I remind Mr Bell, his board, insiders like Helpful, the Nomad of the requirement to file details of new charges as soon as they are known.

If there's nothing to disclose all well and good but if there is it needs registering.

I said after the Dec raise this would never hold above 0.2p ever again.

1.5bn shares approved tommorrow

1.0bn issued next week.

In the event DRC delivers $6.5m ( deducted costs) = £5m across 4.5bn shares = .11p per share

Added to 0.08p now = 0.19p.

For LTHs that's the very best we can hope for. If we get the best possible outcome !!

We began the year with only 1.4bn shares.

So Bells dilution that allways favours the few has reduced LTH DRC dividend from 0.35p per share to 0.11p.

I had a feeling 4 months ago.

Remember my relentlessly questioning trucks 2 to 7.

I described it as a face saving "story" because of the ridiculous X hype.

The giveaway was the photos, the Lithium not being ours and only one truck crossed, and couldn't report anything as commercial in confidence.

News some homework on our nine your dormant oil and gas outfit. Please research - Shoats Creek Louisiana I think we got 12 barrels a day for a few weeks on a $1m investment. Research Elephant Oil a dog of an interest in Benin and Namibia. It failed to IPO at least five times. In the listing papers the regulator made them refer to how risky the investment was and you could lose all your money [ a shame that safeguard is not applied to buying RRR shares]

Yes having been burnt on oil. twice we go in for more !! And add yet more plates to the current cash burn which is unsustainable.
