Blue - When the previous directors resigned they left Katherine Lewis as the only director. The MofA gives procedures for one direction situations apart from the PLC and listing rules. She had ONE role - to appoint a new director and nothing else - she probably wouldn't be able to sign cheques. She found Sarah Dees whose linkedin page said she was available for directorships. Whether Mr. Ott approved we don't know but Dees then appointed Birrell which meant Lewis could resign having done the basic to prevent suspension etc. Whether Dees will remain for the long term I have no idea.

Did ECR give up on the licence EL007540? Even as late as 2nd Feb Paul Johnson thought Mercator were still competing. But not listed on the Mercator site anymore.

They haven't done much at Creswick lately, and the licence runs out this year. Will a couple of drills be enough to renew it? So I think they need the JV and I would guess the partners are discussing the licence with the powers that be.
They can only issue shares as agreed at agms or egms. Here they have exhausted those until the next meeting.
bloodninja - directors can appoint directors. Then they will be confirmed (or not) at the agm or egm.
The OTT way would have removed all the directors as the last one would have resigned. So now they are left with Katharine Lewis and the rules say that she has one job only and that is to appoint directors. If she can't do that then any two shareholders can call a meeting to appoint new directors.
Not forgetting all those "penalty shares" with no explanation! They can't issue shares to EHGOF anyway as the special resolution 8 wasn't passed. They would have to do a general placing for all shareholders.
