RE: EGM24 Oct 2025 11:22
Hi Consolium, a bit late to this, but, yes, I'm in, with 4.78 M shares.
I asked ChatGPT about this a while back. Well worth interrogating yourself. Some of the main points :
1. Yes, we CAN call an EGM with 5% of the voting rights
- Submit a formal written request to the company’s registered office.
- Specify the resolutions you want put to the meeting (e.g., remove director(s), appoint new director(s), change company direction).
- The board must call the meeting within 21 days of the request and hold it within 28 days of the notice being sent.
2. We need 50% of the votes cast to force through resolutions at such a meeting.
In terms of reaching shareholders, we may need to figure out how it works with nominee accounts (e.g.Hargreaves-Lansdown, AJ Bell, etc).
If we go ahead, we need to work out such things as :
- If we replace directors, whom do we install instead.
- If we call for a change of direction, what new direction do we want.
I personally would be in favour of an outright sale (once legal obstacles dealt with), but would defer to majority view.
Best wishes, AC
