LONDON (Alliance News) - Management Resource Solutions PLC on Monday said it has received a requisition for a general meeting from a company controlled by its former CEO Paul Morffew.
The environmental health and safety company said SCOPN Pty Ltd requisitioned the meeting for shareholders to vote on appointing two new directors nominated by SCOPN to the board with immediate effect.
SCOPN have also put forward the resolution that would require Management Resource to have at least two and no more than five directors on its board, unless authorised by shareholders, and that all directors must stand for re-election at every general meeting or annual general meeting.
Last month, Management Resource said its accounts audit is proving more difficult than anticipated, which it said was a result of financial and operational issues kept from the board by Morffew.
SCOPN holds a 21% stake in Management Resource according to Morningstar, and Morffew also holds a 21% stake.
Shares in Management Resource Solutions remain suspended to trading on AIM, due to the delay in the release of its accounts.
