US's ESW Capital Says In Talks To Buy Bond International Software

LONDON (Alliance News) - ESW Capital LLC on Thursday said it is in talks for a possible takeover of London-listed Bond International Software PLC.

ESW said any takeover would be a cash transaction and that it has until October 10 to either announce a firm intention to make an offer or walk away, under UK rules.

US-based ESW is a company focused on acquiring software firms.

Last week, Bond International advised its shareholders to take no action regarding an unsolicited offer for the company by Constellation Software UK Holdco Ltd.

Constellation proposed a cash offer of 105 pence per share for the shares in Bond International which it doesn't already own, valuing the company at GBP44.2 million. Bond International had been considering the offer back in June. Constellation is Bond International's biggest shareholder with a 27.3% holding.

Shares in Bond International closed down 3.7% at 105.00 pence on Thursday, giving it a market capitalisation of GBP45.3 million.
