Just as an interest. Next trading update is the end of August and it will probably still be listed by then so we get to see them. Do they have to release results if they are listed at their year end but private by the time the results are ready for release?

DBAY want more money or part of Proactis? Participation is an interesting word to use. Participation in the acquisition, not just go along with it and vote for. Anyone still holding PHD might get a few more pennies.

Finally DBAY have settled at 220p for Telit and perhaps they will now look to Proactis.
When it goes this quiet on the trades for Proactis something happens just afterwards and will be interesting to watch as there is a chance another group will throw their hat into the ring. Once only opportunity to buy the group.

Hi everyone. I'm an innocent with regard to company structures, takeovers, etc. This update from the 17th puts the irrevocable undertakings to support the bid at over 50%, and seems to see that - a simple majority - as significant. Where do you get the 75% red line figure from? I'm still holding.

As anticipated big trades after hours.....further holding RNS likely, one has just come out but think it repeats / confirms DBAY as over 25% which we already had. Glad I’ve not sold.
As title suggests I wonder if they’ll be snapped up after hours. Whats the feeling on timeline here for a response now DBAY have over 25% and have not agreed to the irrevocable undertaking? .

Lombard have added too, 15000. Strange bahviour to add such a small amount now. Something is going on to make them spend about 11250 for what?? It won't make any difference when they already hold millions.
How long have DBAY got to respond? Seems unlikely they will agree given the quick acceleration to over 25% holding.
I have read the BOD are expecting this to be concluded by October.
Yep - i saw this RNS. Wonder if their plan is to either: a) block the acquisition; or 2) make a counter offer once they reach 30%. Shouldn't be to difficult given there are a lot of sellers in play at the moment, so they can reach the 30% threshold.
But if the former - i do wonder if it means i'm being silly by not selling - can the bid be cancelled?

Trying to think through the logic of dbay buying and I suppose the most logical explanation is that dbay can now force Pollen street to increase their offer. If dbay alone can rejected the current 75p offer, then if Pollen street still want proactis then an increased offer can be expected. It might be that simple, dbay will make a nice profit on their 75p buys, but an very significant profit on the other 17% they had before. On this basis I'm holding to see how it plays.

Not sure, if i'm honest. But that is my understanding also. The scheme requires 75% of the shareholding to pass it - without DBAY, that's now impossible. I do think we'll still see a sale - just to who - I don't know. But interesting that now DBAY control the show, again. I don't however, see them walking away from it now given they just bought around 6m shares for 75p each - they could have done that cheaper last week. I personally now expect a counter bid from dbay.

Looks like DBAY bought them. I still hold here - i'm tempted to increase my holding now. Developments look interesting!

I do wonder if DBAY will buy 25.01% of outstanding shares and possibly attempt to block the sale. Is that even possible?
I haven't sold yet - happy to wait for the 75p as there isn't anything I currently want to buy - still in the research phase... But at the same time, i don't want to risk a fall...

This post is in no way meant to annoy. Having been in that position before..it leaves a terrible taste. But this post is an attempt to understand Capital Gains.
Inevitably there are folk who were lucky enough to obtain the reverse outcome..and profit from recent events.
I saw the expansion of the business, ignoring debt, threw caution to the wind and purchased at 48.5 in February in ordinary / non ISA account. Didnt expect recent events...had it as a lth..sticks I'd no intention of touching for years. Pure and utter luck then occurred.
Now I'm thinking of taking profit but am baffled by CGT.
I would be very grateful if someone could throw some light on CGT..(or even point me in the right direction to info on CGT for dumbies).
Is the simplest method to roughly stay within yearly CGT allowance to top slice the profit and use the top slice as an approx running total for the yearly allowance?

congrats bunco.i also traded down over the last few months but was left with enough to enjoy todays news quite a lot. cureboy over on advfn also seems fairly pleased, so well done all who have stuck with it.
I have let a few shares go over past few months but still got 200k+ so after over 2 years invested a nice pay day has arrived... My original hopes we're much higher, but given the recent flatline and impact of covid I'm happy with the price agreed. Hope this price works for everyone else who has help long term.

traveller i actually agree that trying to trade their way out isnt working. it may well do eventually (if the covid impact lessens) but for the time being i see it as as a T/O play for a modest premium if that is dbay's game. interesting to see if we get a TR1 after yesterday's big trade, although if it was dbay increasing ,that trade alone wouldn't have pushed them into the next bracket.
Still too much debt, a board that closed the door on previous t/o talks. Trying to trade their way out and it isn't working.
PHD is the elephant in the room and never recovered from the drop a few yrs back.

just musing on the 600.000 trade.it was an XOFF trade as per the stock exchange website (LSE's description as ordinary is a bit misleading). ie an off market trade probably between two parties, so a buy and a sell. now i suppose there are a number of possible candidtes as seller, but not that many likely ones for buyer( could be anybody of course,but realistically it's likely to be Dbay or lombard).lombard have 29.11 %, so it could be them as 600000 is just under 0.63%. however, if you had to bet i think you would have to go with Dbay. if that is correct does it make a T/O more likely?who knows. a T/O has been a common trope on here for a long time without anything happening.just musing of course.

thanks for that YHAL. i remain invested (i took some profits back at about 48p i think it was).im staying in the hope of a T/O, although if we get one in not expecting it to be at a great premium.indeed when there was a lot of talk about multiples of earnings and e.g. a minimum of 75p etc, i was pretty sceptical. i was hoping perhaps for 60/65p but think will have to settle for quite a bit less if we get a bid soon. of course we may not get a bid at all,so i may have to be patient.

slight improvement in EBITDA as well,but agree will probably drop back a bit and then recover.T/O play now i think.
Seems a pretty stable RNS to me. Debt up by £3 million but better margins should cancel this out. Just have to hope we get bought out. As a few others pointed out it’s like watching paint dry! Prediction is may drop to low 40s then recover back to mid 40s over next month or so. Basically what it’s been doing for the last year!

cureboy makes an interesting point over on ADVFN. there has been some dialogue there comparing the possible situation with telit with the situation here. it is clear that Dbay are playing very hardball game with telit (whether it will succeed or not I've no idea).here,although they appear to be driving things, we have LO and potts who, if they have the same agenda, could quite probably make it very difficult for a low bid to go through. (unless of course they would be happy with a low figure). no signs yet of boardroom changes.just musing as its all really anybody's guess where this is going.
