The price of MWG is irrelevant now as the important thing now is the price of Deepverge.

Yes HL pretty much said as the take up is over 90% my shares will automatically switch to DVRG.
Another question if you don't mind, will I get 1 DVRG share for every 10 MWG shares? Does it matter about the price of a share on a certain day etc.

@DavieG9. you are now the proud owner of Deepverge shares (the entity name for combo of Modern Water and integumen). As acceptances of the merger are above 90% there will be a compulsory conversion of your modern water shares into deepverge shares which i think should all wash through by Dec 2nd. Market makers still obviously taking orders here on MDW but the huge spread reflects their unwillingness to do much business here now. Focus on deepverge price now.

AM I think you're right. GB kindly offered to help if I was struggling but AJB don't seem to be responding. I did accept the offer in October. This week my MWG shares still showed in my AJB account but by yesterday, they had gone completely with no explanation from AJB, despite requests. I guess all will be well eventually.
Checking on my understanding .. if it’s not right please correct me .
My understanding is deep verge is doing a takeover and if u accept the offer u convert ur shares into their ones.. if u don’t and they get over 90% acceptance then they will buy ur shares at the remaining value. .. hmm looks better to convert

OBT - per the HL FAQ's my understanding is:
What happens if I accept the Offer?
If you accept the Offer at this opportunity your holding will be removed from your account and sent off in acceptance of the Offer. On or around 17 November 2020 the Company will make an announcement as to the acceptance level of the Takeover and whether it has been declared “wholly unconditional” (i.e. successful).
If I accept the Offer when will I receive my proceeds?
Once the Offer is declared 'wholly unconditional' (i.e. successful), the relevant consideration will be credited to your account within 14 calendar days.
So essentially your shares are frozen until offer outcome is known.
Thank you. The corporate event on broker's site closed on 29/10 so I could not use it but have sent a msg to my broker instructing them to accept, if there is a problem with them actioning this I will let you know. Truly appreciate your time.
@deezel yes anyone who has bought shares can accept the offer by instructing your broker or taking action on the brokers instruction which may be to go to their website and look for "corporate actions".
Will those that missed the 29/10/2020 cut off date get another chance to accept? My apologies, I have been out of the loop.....

Dg12 your correct mate,way behind.probaby into January or February if it’s a viable product, so a couple of months for all sorts of things to spring up as ,a lot of companies are working at breakneck speed to capture the market and contracts while the money is available . DeepVerge are in the sleepy joe Biden category.

I don't agree. DVRG has a lot more than just the test. Important to vote.
If the takeover is not successful and a better offer is received,those who have already accepted will not be able to receive any enhancement to the offer.
There is no real point in accepting the current offer, as the price being offered
is the same as pre-offer.
Even if it goes ahead there is uncertainty about Deepverge increasing their share
value. The market in Covid Breathalysers is hotting up with Singapore announcing
a new 1 minute test on 29Th Oct.
Rule 9.3 A company requires 50% of voting shares for offer to be accepted

And I must admit DG12 I can't understand what the 90% and 50% actually mean!!!! Someone else on advfn stated that 75% was the figure.

Where is the information about the takeover being unconditional, there is nothing
on either website under news or investor information.
If large shareholders have accepted the offer there is no evidence. 57% of shares are owned privately.

You'll see a name change, and consolidated share holding/price............ is all.......!

Once the takeover is done MWG will not be able to trade their shares until converted
recapitalised and admitted as new Deepverge shares to the market currently
expected on 23rd November. So maybe 2-3 weeks suspension .
With the tech market following the FTSE and other London traded shares sharply
downwards as more Lockdowns and deaths rise. Markets of all types will be on a downward spiral.
When the new Deepverge shares start trading the SP will be well down on current pricing of 28.5p mid price for Deepverge.

The current crop of buyers are chasing the price up.
MM have noticed this an the price of MWG to buy is now higher than buying Deepverge
Once the takeover and the consolidation is complete near the end of November
The price will reflect the current market conditions and Deepverge will trade around the sub 20p mark
Currently market makers are cushioning the shares from falling to allow the T/O
to go smoothly

If you want to accept the offer on HL then you will need to tap on the icon that has a dark blue square with a tick in the square, it will be under the Actions section.

What is happening?
The Boards of Modern Water plc and DeepVerge plc have announced that they have reached agreement on the terms of a recommended offer, by DeepVerge plc, for the entire issued share capital of Modern Water plc. As a holder of Modern Water plc Shares within your Hargreaves Lansdown account you need to decide whether you wish to accept the Offer or not.
What are my choices?
Option 1 - You can accept the Offer. Under the terms of this Offer Modern Water plc Shareholders have been offered 1 DeepVerge plc Share for every 10 Modern Water plc Shares held.
Option 2 - The alternative is to do nothing. If you do not wish to participate in this Offer you are not required to take any action at this time.
When do I have to decide by?

This is what is stated on the offer Through HL
You should have a message telling you what to do. There should be a dark blue option not normally there to the left of the deal option which comes up with a message. Scroll all the way to the bottom and there is an accept button. There's no do not accept, that's just do nothing. Click the accept and your holding goes to 0.00 which means it's committed to the offer and you can no longer sell them. That's all. If you don't have it try contacting HL rather than post on a bulletin board.
