Future Lifestyle Fashions Limited signs subscription agreement to invest additional funds between £9.5m to £10.5m
The Subscription
Further to the Company's announcements on 4 July 2018 and 19 July 2018, Koovs plc (AIM: KOOV) is pleased to announce that it has signed a subscription agreement with strategic partner Future Lifestyle Fashions Limited ("FLFL"), part of Future Group - India's largest retail group, for FLFL to take its current shareholding in Koovs from 16.25% up to a maximum of 29.99%.
Under existing shareholder authority and subject to the satisfaction of certain conditions, including the approval of Reserve Bank of India ("RBI"), FLFL have signed a subscription agreement to subscribe for between 63,300,000 and 69,850,000 new ordinary shares of 1p each in the capital of the Company ("Ordinary Shares") at a price of 15p per share, raising between £9.5m and £10.5m of cash (the "Subscription"). Once completed FLFL will own between 28.89% and 29.99% of the Company's enlarged issued share capital.
The strategic partnership with FLFL represents a transformational deal for the Company and is expected to deliver synergies across the value chain from manufacturing and distribution to market reach, marketing and customer engagement.

Neil, have a look at the old rns's. This was all agreed going back to July 2018. Has been very, very slow, but Koovs are aiming for March 27th
Bit thick cant understand the finding bit at 15p when we are at 8p was it arranged when share price was a lot higher ??
Or am I missing something as I'm down over a grand I welcome it if it's going to happen
Probably days away from 15p funding announcement.
This should coincide with an update re their partnership with Future Group & a new Board member.
All followed by a trading update in early April for YE 2019. Any signs of improvement in revenues & margins is what I am looking for.
15p funding getting nearer by the day..... Lets hope its followed by some good trading figures...
The disastrous UK venture launched by CEO Mary Turner in 2017 is all over now.
ALL Koovs products have now been pulled from the SimplyBe platform.
Trebuchet Kid on Twitter has been notified from the marketing team at SimplyBe that they will NOT be stocking any more items from Koovs.
I wonder how much money they wasted with this stupid idea? Hopefully, whoever though of this ridiculous idea is held accountable.
One of the many reasons why I don't rate the current management.
Only a couple of weeks to go before funding is finalised & a new board member is appointed. Hoping for a major Board reshuffle.
With the Technical Services contract over 24 months having been signed with FLFL, does anybody else think this could be a way to increase flagging revenues for the future?
Remember that Koovs have stated that they have invested £70 million in the their technology, product & platform.
India has a nascent e commerce sector. There are thousands of up & coming technology platforms looking to expand/ enter the market.
This could be more of a 'spin-off' venture than most may have anticipated.
It's pretty good news, but had a luke warm response due to a seller still around (which I believe are still Ruffer LLP)

I have been in and out of Koovs a bit over the last 12 months - probably only slightly in positive territory as I was lucky enough to have been in during last years spike . To be honest now I just pop in and out of the board to bate Jambon as he deserves all he gets . Never come across anyone who needs to be loved as much as he does . Nobody does love him , so he has to love himself .

I’m interested if you have held and then sold or even if you are of a negative opinion of this stock. Ps Thanks for posting that barchart link - for one I will look at it in future. The snapshot view near the bottom was very revealing and possibly indicates that sentiment is starting to turn on this?
96% sell a month ago and that has dropped massively to 32% this week. Interesting!

I wont lie though i did have a massive lol to myself reading your post on the 13th of dec followed by the rns and subsequent crash of YU on the 14th of dec... Talk about getting taught a lesson!! Yes the green sub is a nice piece, the anniversary daydate is currently worth 24k second hand... Fortunately i paid £24,250 from my AD and also took a steel daytona at rrp as part of the deal, i sold the daytona for a 6k profit so the daydate now owes me about 18k....as for the pepsi the 8k premium over retail speaks for itself....

Following on from Olliebee's post yesterday, the link above is Future Lifestyle Fashions Ltd Investor Presentation dated 4th Feb 2019 . Its a lengthy read but zoom in to pages Pages 36 & 37 which outline FLFL investment in Koovs. Confirms the operating synergies for both companies as mentioned by Olliebee,

All we need is a bit more buying to get the share price moving !
Would be interesting. Liquidity would take a hit so not so easy to buy/sell and buying at rock bottom shorted prices would be a thing of the past. Not defending it...i buy and hold..never shorted but it might not be as great as we think.
One thing for certain... If shorting got banned then these chats would be like a ghost town!
