Anyone got any views on the share price performance of Elemental Altus? Other than the entire market appears to be behaving increasingly schizophrenically and irrationally in my view (or maybe its just because I am a dinosaur in investing terms!)
Elemental Altus Royalties Announces Closing of C$5.1M Fundraise and Grant of Options

Vancouver, British Columbia--(Newsfile Corp. - December 20, 2022) - Elemental Altus Royalties Corp. (TSXV: ELE) (OTCQX: ELEMF) ("Elemental Altus" or "the Company") announces it has completed its previously announced non-brokered private placement of 3,970,997 shares of Elemental ("Common Shares") at an issue price of C$1.28 per Common Share for aggregate gross proceeds of C$5,082,876.16 (the "Offering").
The Common Shares were placed with institutional and private investors. The Company's directors and management subscribing for a total of C$905,856, representing 17.8% of the Offering. The net proceeds of the Offering will be used for royalty acquisitions and general working capital purposes. The Company also announces the grant of stock options to certain board members and employees.
Completion of Offering
Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 - Prospectus Exemptions ("NI 45-106"), an aggregate of 3,263,297 Common Shares from the Offering were sold pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the "Listed Issuer Financing Exemption"), for aggregate gross proceeds of C$4,177,020.16. The Common Shares sold under the Offering pursuant to the Listed Issuer Financing Exemption will not be subject to a hold period pursuant to applicable Canadian securities laws.
In addition, the Company also sold an aggregate of 707,700 Common Shares under the Offering for aggregate gross proceeds of C$905,856, to insiders of the Company pursuant to other private placement exemptions under applicable Canadian securities laws. The Common Shares issued to insiders pursuant to the Offering are subject to a hold period lasting four months and one day following the closing date of the Offering. Participation by these insiders constituted a related party transaction as defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The issuance of securities to the related parties was exempt from the formal valuation requirements of Section 5.4 of MI 61-101 pursuant to Subsection 5.5(b) of MI 61-101 and exempt from the minority shareholder approval requirements of Section 5.6 of MI 61-101 pursuant to Subsection 5.7(1)(b) of MI 61-101. The Company did not file a material change report 21 days prior to the closing of the Offering as the details of the participation of these insiders of the Company had not been confirmed until the completion of the Offering.
The Offering remains subject to the final approval of the TSX-V. Following the Offering, Elemental has 180,886,010 Common Shares outstanding.
Grant of Options
The Company has also granted stock options today to purchase an aggregate of 8,030,000 Common Shares, exercisable for a period of 5 years at $1.4

On 23/9/2022 the shares were at a all time low of 1.04 cad . ( 16% lower then now 4 months on )
Massive peaks and dips in the 8 years before October 2014 tops resisting at 688 cad fall backs to 100 cad. ( wow )
By 11/10/2019 they had fallen to the newer "scrape along bottom" price of 2.09 cad from from the last peak of 668 cad on 10th October 2014. ( 9 years at "scrape along bottom" level )

Summary
The boards of Elemental Royalties Corp. (ELE.V) ("Elemental") and Altus Strategies plc (ALTS.V) ("Altus") are pleased to announce they have reached agreement on the terms and conditions of a recommended share-for-share merger of equals of Elemental and Altus with the entire issued and to be issued share capital of Altus being acquired by Elemental (the "Merger"). It is intended that the Merger will be implemented by way of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006.
Under the terms of the Merger, each Altus Shareholder will be entitled to receive:
0.5940 New Elemental Shares for each Altus Share
This exchange ratio (the "Exchange Ratio") has been agreed between the boards of Elemental and Altus taking into account the relative market capitalisations of both companies.
Upon completion of the Merger, Elemental Shareholders will own approximately 52.9 per cent. and Altus Shareholders will own approximately 47.1 per cent. of the total issued share capital of the New Elemental Altus Group (based on the undiluted issued share capital of Elemental and Altus on the Last Practicable Date).
The boards of Elemental and Altus believe that the Merger has compelling strategic logic and represents an attractive opportunity for both companies to create a global gold royalty company.

Substantial benefits for all Altus and Elemental stakeholders as a result of the creation of the New Elemental Altus Group
The Elemental Directors and Altus Directors believe that the creation of the New Elemental Altus Group will deliver substantial benefits for all stakeholders of both Elemental and Altus, including:
· Increased scale and diversification: a combined portfolio of 69 assets across 13 jurisdictions, concentrated in tier-1 mining jurisdictions, of which 11 are in production, and primarily focused on gold;
· Transformed adjusted revenue profile: estimated combined adjusted 2022 revenue of the New Elemental Altus Group of US$19.6 million with significant near term growth potential from first expected revenue from Ming, Bonikro and Mercedes in 2022 estimated to lead to combined adjusted 2023 revenue of the New Elemental Altus Group of US$24.6 million, combined with opportunities to add further portfolio revenue and duration*;
* see "Non-IFRS financial measures - (i) Adjusted Revenue" below. The sources and bases for the calculation of the estimated combined New Elemental Altus Group adjusted revenue for FY 2022 and 2023 are set out in Appendix 2.

Altus Strategies PLC - Oxfordshire, England-based mining royalty company - Says shareholders vote in favour of "merger of equals" with Elemental Royalties Corp, under which Elemental will acquire Altus. Back in June, the two agreed an all-share merger. Vancouver, Canada-headquartered Elemental Royalties will issue Altus shareholders 0.5940 new shares in the enlarged group. As a result, Elemental shareholders will own about 52.9% of the new firm, with Altus shareholders holding 47.1%.

Bought these 26/3/2021 for 73p price at merger with Elemental shows a sell price of 46p .. down approx 40%

Bit of selling as ISA investors wont want Canadian shares I imagine as appears the case. Hopefully some will be london still though.
Makes a lot of sense to me. Altus has the pipeline, Elemental had the cashflow. This'll be well received over in Canada..

Its called synergy where sum of parts is greater than whole. Loss making company with assets has value. Not sure what to make of deal. I thought the Egypt assets looked exciting and why bought a few.

Very strange decision as I was taught this at school ….If you take a negative (-) and add another negative (+) (-) the negative overrides and the original number will become a higher negative number.
So if you take one loss making company and add it to another loss making company you get less than half of nothing…. rather than all of nothing so I think we’re all better off?
